2. All Petroleum Engineer personnel assigned to this engagement shall hold valid professional registration with the Federal Council of Engineering and Agronomy (CREA-DF) and possess a minimum of ten (10) years of relevant experience in the Brazilian petroleum sector.
3. Payment terms: 30% advance upon contract signing, 40% upon completion of the mid-project milestone (month 3), and 30% upon final delivery and acceptance of all technical reports. Invoices shall be issued in BRL and are payable within fifteen (15) business days via bank transfer to the account designated in the contract annex.
4. All services shall be performed in compliance with the Brazilian Federal Constitution, the Petroleum Law (Law No. 9,478/1997), ANP Resolution No. 858/2023, and all applicable environmental and labor regulations in force in Brazil Brasília and the Federal District.

7. Force Majeure: Neither party shall be liable for delays or failures in performance resulting from events beyond reasonable control, including but not limited to natural disasters, government sanctions, pandemics, or regulatory changes enacted by ANP or the Federal Government of Brazil Brasília.
8. Dispute Resolution: Any disputes arising from this Quotation Estimate or the subsequent service contract shall be resolved through arbitration in Brasília – DF, Brazil, in accordance with the rules of the Brazilian Arbitration Association (CAMARB), conducted in the Portuguese language.
9. This Quotation Estimate does not constitute a binding contract. A formal Service Agreement must be executed by both parties before any work commences. The terms herein are subject to the final contract language.
10. Any changes to the scope of work, additional Petroleum Engineer personnel, or extended timelines must be documented through a formal Change Order signed by both parties prior to execution.
