1. Scope of Work and Description

This Quotation Estimate is issued by Andes Petroleum Consulting SpA to PetroAndes Exploración S.A. for the provision of specialized Petroleum Engineer consulting services to be executed in Chile Santiago and associated offshore operational sites. The scope encompasses reservoir engineering analysis, well performance optimization, production forecasting, and technical due diligence support for the client's active exploration and production assets in the southern Chilean basin.

The Petroleum Engineer assigned to this engagement will hold a minimum of fifteen (15) years of professional experience in hydrocarbon reservoir management, with demonstrated expertise in both onshore and offshore operations. All technical deliverables will be prepared in accordance with the Chilean National Energy Commission (CNDC) regulations and the operational standards established by the Ministry of Mining of Chile. The primary work location for administrative coordination, client meetings, and report preparation will be the operations center in Chile Santiago, with periodic site visits to the offshore platform as required by the project timeline.

3. Terms and Conditions

This Quotation Estimate is valid for thirty (30) calendar days from the date of issue. After the expiration date, pricing and availability of the Petroleum Engineer may be subject to revision.
Payment terms: 40% advance upon contract signing, 35% upon delivery of the reservoir engineering study and well performance reports, and 25% upon final acceptance of all deliverables. All payments in Chilean Pesos (CLP) via bank transfer to the account designated in Chile Santiago.
The Petroleum Engineer shall maintain full professional liability insurance and comply with all occupational health and safety regulations applicable to petroleum operations in Chile.
All intellectual property generated under this engagement shall be the exclusive property of the client upon full payment. The Petroleum Engineer retains the right to reference the project in professional portfolios with prior written consent.
Force majeure events, including but not limited to natural disasters, government regulatory changes, or port closures affecting access to offshore sites from Chile Santiago, shall extend the project timeline proportionally without penalty to either party.
Any disputes arising from this Quotation Estimate and subsequent contract shall be resolved through arbitration in Santiago, Chile, in accordance with the rules of the Chilean Chamber of Commerce.
This document constitutes a Quotation Estimate only and does not constitute a binding contract until a formal service agreement is executed by both parties.
