This Quotation Estimate is issued by ProGéo Ingénierie SARL to Méditerranée Énergie Offshore SA for the provision of specialised Petroleum Engineer consultancy services to be executed primarily from our offices in France Marseille, with periodic site visits to the offshore platform located in the Gulf of Lion. The scope encompasses reservoir characterisation, production optimisation, well integrity assessment, and technical reporting in compliance with French regulatory standards (Code de l'Énergie) and European Union directives applicable to hydrocarbon operations.

The Petroleum Engineer assigned to this engagement will hold a minimum of fifteen (15) years of progressive experience in offshore reservoir engineering, a Chartered Engineer (Ingénieur Diplômé) designation from a French grande école, and full professional liability insurance as mandated by French law. All deliverables will be produced in French and English to satisfy both local regulatory bodies in France Marseille and the client's international stakeholders.

4. Terms & Conditions of This Quotation Estimate

• 4.1 Validity: This Quotation Estimate is valid for thirty (30) calendar days from the date of issue. Beyond this period, pricing may be revised to reflect market conditions in the France Marseille engineering sector.
• 4.2 Payment Terms: Invoicing shall be issued monthly in arrears. Payment is due within thirty (30) days of invoice date by bank transfer to the account of ProGéo Ingénierie SARL, BNP Paribas, Marseille. A late payment penalty of 1.5% per month shall apply in accordance with French commercial law (Article L441-10 du Code de commerce).
• 4.3 Mobilisation: A mobilisation fee of 10% of the total contract value (€149,724.00) is due upon signature of the service agreement and prior to the commencement of Petroleum Engineer fieldwork.
• 4.4 Intellectual Property: All reports, models, and deliverables produced by the Petroleum Engineer under this engagement shall become the exclusive property of Méditerranée Énergie Offshore SA upon full payment. ProGéo Ingénierie SARL retains the right to reference the project in anonymised portfolio materials.
• 4.5 Health, Safety & Environment (HSE): All personnel deployed to the offshore platform shall comply with the client's HSE plan, French maritime safety regulations (Code des Transports, Livre II), and EU Directive 2013/30/EU on major accident hazards. The Petroleum Engineer must hold a valid offshore medical certificate and complete the client's site-specific induction prior to first mobilisation.
• 4.6 Confidentiality: Both parties agree to maintain strict confidentiality regarding reservoir data, production figures, and proprietary modelling results. A separate Non-Disclosure Agreement (NDA) shall be executed concurrently with this Quotation Estimate acceptance.
• 4.7 Force Majeure: Neither party shall be liable for delays caused by events beyond reasonable control, including but not limited to severe Mediterranean weather events affecting platform access from France Marseille, government-imposed operational suspensions, or pandemics.
• 4.8 Dispute Resolution: Any dispute arising from this Quotation Estimate or the resulting service agreement shall be submitted to the exclusive jurisdiction of the Tribunal de Commerce de Marseille, France. The governing law shall be French law.
• 4.9 Subcontracting: ProGéo Ingénierie SARL shall not subcontract any Petroleum Engineer services without prior written consent from the client. All personnel shall be direct employees of ProGéo Ingénierie SARL.
• 4.10 Currency: All amounts in this Quotation Estimate are expressed in Euros (EUR). No currency adjustment clause applies.

5. Acceptance

By signing below, the client acknowledges receipt of this Quotation Estimate for Petroleum Engineer services in France Marseille and agrees to the terms, conditions, and pricing outlined herein. This document, once countersigned by both parties, constitutes a binding service agreement for the duration specified in Section 1.
