4. Payment Terms

Payment for this Quotation Estimate shall be made in monthly instalments via SEPA bank transfer to the account of GeoTech Engineering Solutions GmbH, IBAN: DE89 3704 0044 0532 0130 00, BIC: COBADEFFXXX. Invoices are issued on the 1st of each month for services rendered in the preceding month. Payment is due within 14 calendar days of invoice date in accordance with German commercial practice (BGB § 286). Late payments shall accrue interest at the statutory rate of 8 percentage points above the ECB base rate as per § 288 BGB.

5. Terms and Conditions

This Quotation Estimate is valid for 30 calendar days from the date of issue. Upon expiry, all rates and availability of the Petroleum Engineer must be reconfirmed in writing.
The Petroleum Engineer shall comply with all applicable German federal and state (Land Berlin) regulations, including the Federal Mining Act (BBergG), the Federal Immission Control Act (BImSchG), and occupational health and safety standards (ArbSchG).
All intellectual property, technical reports, and data generated by the Petroleum Engineer during the engagement in Germany Berlin shall remain the exclusive property of the client, NordEnergie AG, upon full payment.
Either party may terminate this engagement with 30 days written notice. In the event of early termination, all services rendered up to the termination date shall be invoiced in full.
Confidentiality: The Petroleum Engineer is bound by a Non-Disclosure Agreement (NDA) in accordance with German trade secret law (GeschGehG) for a period of 5 years following project completion.
This Quotation Estimate does not constitute a binding contract until both parties have executed the formal Service Agreement. All terms herein are subject to the final contractual documentation.
