This Quotation Estimate is issued by GeoTech Engineering Solutions GmbH in response to the formal request from Bavaria Energy Resources AG for the engagement of a qualified Petroleum Engineer to provide comprehensive technical consulting, reservoir analysis, and production optimization services. All professional activities described herein shall be executed within the metropolitan area of Germany Munich and its surrounding industrial zones, in full compliance with the regulations of the German Federal Institute for Occupational Safety and Health (BAuA), the German Energy Industry Association (VDEW), and applicable Bavarian state environmental directives.

The Petroleum Engineer assigned to this project shall hold a minimum of ten (10) years of progressive experience in upstream hydrocarbon operations, possess a recognized professional engineering license (Ingenieurkammer Bayern), and demonstrate proven expertise in reservoir simulation, well completion design, enhanced oil recovery (EOR) methodologies, and subsurface data interpretation. The engineer will operate primarily from the client's headquarters in Germany Munich, with occasional site visits to associated operational facilities within a 150-kilometer radius of the city center.

  • Validity: This Quotation Estimate remains valid for a period of ninety (90) calendar days from the date of issue. Any acceptance beyond this period requires written reconfirmation of pricing by GeoTech Engineering Solutions GmbH.
  • Payment Terms: Payment shall be made in monthly installments of 1/30th of the total contract value, invoiced in arrears at the end of each calendar month. A 10% mobilization advance is due upon written acceptance of this Quotation Estimate. All payments are to be made in EUR via bank transfer to the account specified on the invoice.
  • Intellectual Property: All models, reports, simulation files, and technical deliverables produced by the Petroleum Engineer under this engagement shall become the exclusive property of Bavaria Energy Resources AG upon full payment. GeoTech Engineering Solutions GmbH retains the right to reference the project in anonymized portfolio materials.
  • Confidentiality: Both parties agree to maintain strict confidentiality of all subsurface data, production figures, and proprietary information exchanged during the course of this project, in accordance with the German Federal Data Protection Act (BDSG) and the General Data Protection Regulation (GDPR).
  • Force Majeure: Neither party shall be liable for delays or failures in performance resulting from events beyond reasonable control, including but not limited to natural disasters, government-imposed operational restrictions in Germany Munich, or pandemics, provided that the affected party notifies the other in writing within five (5) business days.
  • Governing Law: This Quotation Estimate and any resulting contract shall be governed by and construed in accordance with the laws of the Federal Republic of Germany. Any disputes shall be submitted to the exclusive jurisdiction of the competent courts in Munich, Germany.
  • Subcontracting: The Petroleum Engineer may engage specialized subcontractors for laboratory analysis or seismic reprocessing, provided prior written approval is obtained from the client. All subcontractor costs are included in the rates stated above.
  • Change Orders: Any modification to the scope of work beyond the parameters defined in Section 2 shall be subject to a formal change order, with an adjusted Quotation Estimate issued within ten (10) business days of the change request.

By signing below, the client acknowledges receipt of this Quotation Estimate and authorizes GeoTech Engineering Solutions GmbH to commence the Petroleum Engineer engagement in Germany Munich as described herein. This signature constitutes a binding acceptance of all terms, conditions, and pricing outlined in this document.
