Payment for the services described in this Quotation Estimate shall be made in monthly instalments, invoiced on the last working day of each calendar month. The client shall remit payment within thirty (30) days of invoice receipt via bank transfer to the account of GeoNapoli Energy Consulting S.r.l., Naples, Italy. A late payment penalty of 1.5% per month shall apply to outstanding balances, in accordance with Italian commercial law (Codice Civile, Art. 1284). The total value of this Quotation Estimate is fixed for the initial twelve-month engagement period and shall not be subject to escalation unless additional scope is formally approved in writing by both parties.
The Petroleum Engineer engagement shall commence on 1 September 2025 and conclude on 31 August 2026, subject to mutual agreement for extension. The initial mobilisation and site familiarisation phase in the Italy Naples area shall occupy the first two weeks. 7.1 This Quotation Estimate is valid for a period of ninety (90) days from the date of issue. Beyond this period, all rates and conditions are subject to revision.
7.2 The Petroleum Engineer shall comply with all applicable Italian national laws, regional regulations of Campania, and municipal ordinances of the City of Naples governing petroleum and energy sector operations.
7.3 All intellectual property, technical reports, and data generated during the course of this engagement shall remain the exclusive property of the client, as stipulated in the master service agreement.
7.4 Either party may terminate this engagement with sixty (60) days written notice. In the event of early termination, the client shall be liable for all services rendered up to the termination date plus a mobilisation/demobilisation fee of 8% of the remaining contract value.

7.6 The Petroleum Engineer shall maintain a minimum of 5,000,000 EUR in professional indemnity insurance, with the client named as an additional insured party.
