This Quotation Estimate is prepared in response to the formal request from Tengri Exploration & Development JSC for the engagement of a senior Petroleum Engineer to provide comprehensive technical consulting and operational oversight for onshore hydrocarbon exploration and production activities based in Kazakhstan Almaty. The Petroleum Engineer will be responsible for reservoir characterization, well performance analysis, production optimization, and compliance with the regulatory framework established by the Ministry of Energy of the Republic of Kazakhstan.

The scope of services outlined in this Quotation Estimate covers a twelve-month engagement period commencing on 1 August 2025. The Petroleum Engineer will operate primarily from the client's headquarters in Kazakhstan Almaty, with periodic site visits to exploration blocks in the Karaganda and Mangystau regions as required by the project schedule. All deliverables will be prepared in accordance with international petroleum engineering standards (SPE, API) and local Kazakhstani regulatory requirements.

• This Quotation Estimate is valid for thirty (30) calendar days from the date of issue. Any acceptance beyond this period requires written reconfirmation of pricing.
• All payments shall be made in US Dollars (USD) via wire transfer to the designated account of Caspien Energy Solutions LLP, Almaty, Kazakhstan. Bank charges on the client's side are the responsibility of the client.
• The Petroleum Engineer engaged under this quotation shall comply with all applicable laws of the Republic of Kazakhstan, including but not limited to the Subsoil Use Law and the Tax Code of the Republic of Kazakhstan.
• Any change in scope exceeding 10% of the original work description will require a formal Change Order and a revised Quotation Estimate prior to execution of additional work.
• Confidentiality: All reservoir data, well logs, and production figures shared in Kazakhstan Almaty or at field sites shall be treated as strictly confidential and subject to a Non-Disclosure Agreement (NDA) executed concurrently with the main contract.
• Force Majeure: Neither party shall be liable for delays caused by events beyond reasonable control, including but not limited to natural disasters, government sanctions, or civil unrest within Kazakhstan.
• Dispute Resolution: Any disputes arising from this engagement shall be resolved through arbitration under the rules of the International Chamber of Commerce (ICC), with the seat of arbitration in Almaty, Kazakhstan.
• The Petroleum Engineer shall provide a comprehensive handover report and all project documentation in both English and Russian upon completion of the engagement.
