Payment against this Quotation Estimate shall be structured as follows: an initial mobilization payment of 25% (MAD 1,524,600.00) upon contract signature; monthly progress payments of 10% upon submission and approval of each monthly technical report by the client's engineering team in Morocco Casablanca; and a final payment of 5% upon successful completion and handover of all deliverables. All payments shall be made via bank transfer to the account of Atlas Petroleum Engineering Solutions SARL, Bank Al-Maghrib, Casablanca branch, within thirty (30) calendar days of invoice receipt. Late payments shall accrue interest at the rate of 1.5% per month in accordance with Moroccan commercial law.
5.1 This Quotation Estimate is valid for a period of sixty (60) calendar days from the date of issue. Beyond this period, all rates and terms are subject to revision based on prevailing market conditions in the Morocco Casablanca petroleum services sector.
5.2 The Petroleum Engineer personnel assigned to this project shall hold valid professional certifications recognized by the Moroccan Ministry of Energy and shall maintain current professional liability insurance with a minimum coverage of MAD 10,000,000.00.
5.3 All work performed under this engagement shall be conducted in strict adherence to the HSE (Health, Safety, and Environment) standards applicable to petroleum operations in Morocco Casablanca, including but not limited to the requirements of the Moroccan Directorate of Occupational Health and Safety.
5.4 Intellectual property rights in all technical reports, models, and analyses produced by the Petroleum Engineer team shall vest in the client upon full payment of the amounts specified in this Quotation Estimate.
5.5 Force majeure events, including but not limited to natural disasters affecting the Casablanca coastal region, government regulatory changes, or civil unrest, shall relieve the contractor from performance obligations for the duration of such events, provided written notice is given within 48 hours.
5.6 Any disputes arising from this Quotation Estimate or the resulting contract shall be resolved through amicable negotiation, failing which they shall be submitted to the competent commercial courts of Morocco Casablanca.
