This Quotation Estimate is issued by DeepWell Engineering & Consultancy Ltd. to Niger Delta Energy Ventures Plc. for the provision of a senior Petroleum Engineer and associated technical support services to be deployed at the client's operational facilities in Nigeria Lagos. The scope encompasses reservoir performance analysis, wellbore integrity assessment, production optimization studies, and the preparation of technical reports in compliance with the Nigerian Upstream Petroleum Regulatory Commission (NUPRC) standards and guidelines.
The Petroleum Engineer assigned to this engagement will hold a minimum of fifteen (15) years of progressive experience in onshore and offshore hydrocarbon operations within the Niger Delta region. The engineer will be responsible for conducting monthly reservoir surveillance, reviewing completion and workover programmes, advising on artificial lift system selection, and preparing quarterly production forecasts for the client's three (3) active fields located in the Lagos Basin.

- A mobilization advance of 30% of the Grand Total (NGN 26,783,625) shall be payable within seven (7) working days of the signed acceptance of this Quotation Estimate.
- Monthly retainer payments for the Petroleum Engineer services shall be invoiced on the 25th of each month and are due within fourteen (14) calendar days of invoice receipt.
- One-off deliverables (wellbore reviews, optimization studies, training sessions) shall be invoiced upon client sign-off of the respective deliverable.
- All payments shall be made via bank transfer to the account details provided in the invoice. Late payments shall attract a penalty of 1.5% per month on the outstanding balance.
- This Quotation Estimate is valid for thirty (30) days from the date of issue. Beyond this period, pricing may be revised to reflect prevailing market conditions in Nigeria Lagos.
- The Petroleum Engineer shall comply with all applicable Nigerian health, safety, and environmental regulations, including those enforced by the NUPRC and the Federal Ministry of Petroleum Resources.
- All data, reports, and intellectual property generated under this engagement shall remain the exclusive property of the client. The Petroleum Engineer shall sign a Non-Disclosure Agreement (NDA) prior to commencing work.
- DeepWell Engineering & Consultancy Ltd. shall provide a replacement Petroleum Engineer of equivalent or superior qualification within five (5) working days should the assigned engineer become unavailable.
- Force majeure events, including but not limited to civil unrest, government-imposed shutdowns, or natural disasters affecting the Nigeria Lagos region, shall suspend obligations without penalty to either party.
- Disputes arising from this Quotation Estimate shall be resolved through arbitration in Lagos, Nigeria, in accordance with the Arbitration and Conciliation Act, Cap A18, Laws of the Federation of Nigeria 2004.
- This Quotation Estimate does not constitute a binding contract until countersigned by both parties and the mobilization advance has been received.
