This Quotation Estimate is issued by Atlas Energy Consulting (Pty) Ltd in response to the request for professional Petroleum Engineer services to be delivered in South Africa Cape Town. The scope encompasses the full spectrum of subsurface evaluation, reservoir characterisation, well planning, and production optimisation support required for the client's offshore exploration and production programme along the Western Cape coastline. All services will be performed in strict compliance with the South African Health and Safety Act, the Mineral and Petroleum Resources Development Act (MPRDA) of 2002, and the relevant regulations issued by the Department of Mineral Resources and Energy (DMRE).
The Petroleum Engineer team assigned to this engagement will operate primarily from our Cape Town office facility and will conduct site visits to the client's operational base in the South Africa Cape Town region as required. The estimated duration of the engagement is twelve (12) months, commencing upon written acceptance of this Quotation Estimate.

- Payment is due within thirty (30) days from the date of invoice, by electronic funds transfer (EFT) to the bank account detailed on each invoice.
- A mobilisation payment of 25% of the total contract value (R 1,056,275.00 incl. VAT) is due upon written acceptance of this Quotation Estimate and execution of the service agreement.
- Monthly progress payments for ongoing services (Items 04 and 07) will be invoiced on the 1st of each month for services rendered in the preceding month.
- Late payments will attract interest at the rate of 1.5% per month or the maximum rate permitted by the National Credit Act, whichever is lower.
- All amounts are subject to the prevailing VAT rate as determined by the South African Revenue Service (SARS).
- This Quotation Estimate is valid for a period of thirty (30) calendar days from the date of issue. Thereafter, pricing may be subject to revision based on market conditions and resource availability.
- The Petroleum Engineer services described herein are subject to the availability of qualified personnel. Atlas Energy Consulting reserves the right to substitute equivalent or superior qualified engineers with prior written notice to the client.
- All work will be performed in accordance with the South African Institute of Mining and Metallurgy (SAIMM) professional standards and the Petroleum Industry Skills Council (PETSA) competency frameworks applicable in South Africa Cape Town and the broader Western Cape region.
- Confidentiality: All data, reports, and deliverables produced under this engagement are the exclusive property of the client. Atlas Energy Consulting shall not disclose any proprietary information to third parties without written consent.
- Limitation of Liability: The total liability of Atlas Energy Consulting under this contract shall not exceed the total contract value. Neither party shall be liable for indirect, consequential, or punitive damages.
- Force Majeure: Neither party shall be held liable for delays or failures in performance resulting from events beyond reasonable control, including but not limited to natural disasters, government sanctions, or pandemics affecting operations in South Africa Cape Town.
- Dispute Resolution: Any dispute arising from this agreement shall first be addressed through good-faith negotiation. If unresolved within 30 days, the matter shall be referred to arbitration in Cape Town under the rules of the Arbitration Foundation of Southern Africa (AFSA).
- Governing Law: This agreement shall be governed by and construed in accordance with the laws of the Republic of South Africa.
By signing below, the client acknowledges and accepts the terms, conditions, and pricing set forth in this Quotation Estimate for Petroleum Engineer services to be delivered in South Africa Cape Town. This acceptance constitutes a binding agreement between the parties.
