This Quotation Estimate is issued by Meridian Energy Consulting Ltd. in response to the formal request for professional engineering services in the field of petroleum and natural gas operations. The scope of work described herein pertains specifically to the engagement of a qualified Petroleum Engineer to support the client's onshore and offshore exploration and production activities based in Turkey Istanbul and its surrounding operational regions. All pricing, deliverables, and conditions outlined in this document are binding upon mutual acceptance and execution of the associated service agreement.
The Petroleum Engineer engaged under this Quotation Estimate shall provide comprehensive technical consultancy and operational oversight for the client's petroleum assets located in and around Turkey Istanbul, including the Black Sea offshore concession areas, the Marmara region onshore fields, and associated pipeline infrastructure. The scope encompasses the following key deliverables:

The total amount specified in this Quotation Estimate shall be disbursed according to the following milestone-based payment structure. All payments are denominated in United States Dollars (USD) and shall be remitted to the bank account designated by Meridian Energy Consulting Ltd. in Istanbul, Turkey.

- This Quotation Estimate is valid for a period of ninety (90) calendar days from the date of issue. Beyond this period, all rates and conditions are subject to revision without prior notice.
- The Petroleum Engineer assigned to this project shall hold a minimum of fifteen (15) years of progressive experience in petroleum reservoir engineering, drilling, and production operations, with demonstrated expertise in Turkish geological formations and regulatory frameworks.
- All work shall be performed in strict compliance with the Petroleum Law No. 2832 of the Republic of Turkey, the regulations of the Energy Market Regulatory Authority (EPDK), and the operational guidelines of the General Directorate of Mineral Research and Exploration (MTA) as applicable to the Turkey Istanbul operational jurisdiction.
- The client shall provide the Petroleum Engineer with reasonable access to all relevant well data, seismic surveys, core samples, and operational records necessary to execute the scope of work. Delays in data provision shall extend the project timeline proportionally.
- Travel, accommodation, and per diem expenses for the Petroleum Engineer while stationed in Turkey Istanbul or at remote field sites are included in the lump-sum rates. Additional travel to locations outside the Istanbul metropolitan area exceeding 150 km shall be billed at cost with a 10% administrative surcharge.
- All intellectual property, reports, models, and technical documentation produced under this engagement shall become the sole property of the client upon full payment of the corresponding milestone.
- Either party may terminate this agreement with thirty (30) days written notice. In the event of early termination, the client shall be liable for all work completed and materials procured up to the termination date.
- This Quotation Estimate does not constitute a binding contract until a formal Service Agreement is executed by both parties. The terms herein shall be incorporated into the definitive agreement.
- All disputes arising from this engagement shall be resolved through arbitration in Istanbul, Turkey, in accordance with the rules of the Istanbul Arbitration Centre (ISTAC).
By signing below, both parties acknowledge that this Quotation Estimate accurately reflects the agreed-upon scope, pricing, and terms for the engagement of a Petroleum Engineer for petroleum operations in Turkey Istanbul. This document shall serve as the basis for the definitive Service Agreement.
