The Petroleum Engineer will be responsible for the following deliverables:

• Reservoir characterization and volumetric analysis of the Michigan Basin carbonate formations.
• Production decline curve analysis and forecasting for a minimum of twelve (12) active wells.
• Well interference testing design and interpretation for the client's Will County lease block.
• Waterflood performance evaluation and optimization recommendations.
• Preparation of a 5-year production forecast aligned with Illinois Department of Natural Resources (IDNR) reporting requirements.
• Regulatory compliance review for all operations within the United States Chicago jurisdictional boundaries.
• Two (2) on-site field visits to the United States Chicago area operations for data collection and stakeholder meetings.

The Petroleum Engineer engagement is anticipated to span approximately fourteen (14) weeks from the date of contract execution. The first on-site visit to the United States Chicago operations will occur within the first two weeks to establish baseline data. The final technical report and all supporting documentation will be delivered no later than week fourteen. This Quotation Estimate assumes standard business hours (Monday through Friday, 8:00 AM to 5:00 PM Central Time) for all professional services.

1. This Quotation Estimate is valid for thirty (30) calendar days from the date of issuance. Pricing is subject to revision after the expiration date.
2. Payment terms: 30% upon execution of the service agreement, 40% upon delivery of the interim technical report, and 30% upon final acceptance of all deliverables. All payments are due net thirty (30) days from invoice date.
3. All Petroleum Engineer services shall be performed in accordance with the Illinois Professional Engineering Act and the standards of the American Petroleum Institute (API).
4. The Petroleum Engineer assigned to this project shall hold a valid Illinois Professional Engineer (PE) license and a minimum of fifteen (15) years of relevant subsurface engineering experience.

8. Meridian Energy Consulting Group, LLC shall maintain professional liability insurance of no less than $2,000,000 per occurrence for all Petroleum Engineer services rendered in the United States Chicago area.
9. Disputes arising from this engagement shall be resolved through binding arbitration in Cook County, United States Chicago, in accordance with the rules of the American Arbitration Association.
