This Quotation Estimate is issued by Apex Energy Consulting Group, LLC to provide comprehensive Petroleum Engineer professional services for the client's deepwater reservoir assessment project located in the Gulf of Mexico, with all administrative, reporting, and coordination activities to be conducted from our principal office in United States Miami. The scope encompasses reservoir characterization, production forecasting, well performance analysis, and economic evaluation of hydrocarbon reserves.

The assigned Petroleum Engineer, Dr. Marcus T. Ellison, P.E. (Florida License No. 14872), will lead a team of three (3) supporting engineers and two (2) data analysts. All technical deliverables will be prepared, reviewed, and finalized at the United States Miami headquarters to ensure proximity to the client's operational command center and to facilitate real-time collaboration with offshore field teams.

1. This Quotation Estimate is valid for thirty (30) calendar days from the date of issue. After the expiration date, all rates and availability of the Petroleum Engineer team are subject to revision.
2. All services described herein shall be performed in accordance with the American Petroleum Institute (API) standards, the Society of Petroleum Engineers (SPE) best practices, and applicable regulations of the Bureau of Safety and Environmental Enforcement (BSEE) for operations in the United States.
3. The Petroleum Engineer team will operate primarily from the United States Miami office. Any on-site offshore work will be coordinated through the client's designated platform manager and will comply with all OSHA and BSEE safety protocols.
4. Payment terms are Net 30 days from the date of invoice. Late payments shall accrue interest at a rate of 1.5% per month or the maximum rate permitted under Florida law, whichever is lower.
5. All intellectual property, including reservoir models, simulation files, and technical reports, shall become the sole property of the client upon full payment of this Quotation Estimate.
6. Apex Energy Consulting Group, LLC shall maintain professional liability insurance of no less than $5,000,000 per occurrence, naming the client as an additional insured party.
7. This Quotation Estimate does not constitute a binding contract until executed in writing by both parties. The final contract shall be governed by the laws of the State of Florida, United States.
8. Any changes to the scope of work for the Petroleum Engineer services must be documented in a formal Change Order signed by both parties before additional work commences.
9. Confidentiality: All data, well logs, seismic interpretations, and proprietary information shared during the engagement shall be treated as strictly confidential and shall not be disclosed to third parties without written consent, in accordance with the mutual Non-Disclosure Agreement (NDA) referenced in Appendix A.
10. Force Majeure: Neither party shall be liable for delays caused by hurricanes, tropical storms, or other natural events affecting the United States Miami metropolitan area or the Gulf of Mexico operational zone.
