This Quotation Estimate is issued by Golden Gate Petroleum Engineering Group, Inc. to provide comprehensive Petroleum Engineer consulting and technical services for Bay Area Energy Development Corp.   1. This Quotation Estimate is valid for a period of thirty (30) calendar days from the date of issue. After the expiration date, all rates and pricing may be subject to revision based on market conditions in the San Francisco, United States energy sector.
  2. Payment terms: 30% advance payment upon acceptance of this Quotation Estimate, 40% upon completion of the mid-project deliverables, and 30% upon final acceptance of all Petroleum Engineer reports and data packages. All payments are due within thirty (30) days of invoice date.
  3. All Petroleum Engineer services shall be performed in strict compliance with the California Business and Professions Code, the United States federal regulations governing petroleum operations, and the specific environmental ordinances of the City and County of San Francisco.
  4. The Petroleum Engineer team assigned to this project shall hold valid California P.E. licenses and shall maintain professional liability insurance with a minimum coverage of $5,000,000 per occurrence, as required for engineering services in the United States.
  5. All intellectual property, data, and technical reports generated under this engagement shall become the sole property of Bay Area Energy Development Corp. upon full payment. Golden Gate Petroleum Engineering Group, Inc. retains the right to reference the project in general marketing materials with prior written consent.
  6. Any changes to the scope of work beyond the parameters described in this Quotation Estimate shall require a formal Change Order signed by both parties. Additional Petroleum Engineer hours or services will be billed at the rates specified herein or as mutually agreed upon in writing.
  7. This Quotation Estimate does not constitute a binding contract until a formal Statement of Work (SOW) or Master Services Agreement (MSA) is executed by both parties. The terms herein are subject to the governing law of the State of California, United States, with jurisdiction in the Superior Court of San Francisco County.
  8. Force Majeure: Neither party shall be liable for delays or failures in performance resulting from events beyond reasonable control, including but not limited to earthquakes, severe weather events affecting the San Francisco Bay Area, government actions, or pandemics, as defined under United States commercial law.
  9. All Petroleum Engineer deliverables shall be submitted in both digital (PDF and native file formats) and, where requested, hard-copy format. The final technical report shall be no fewer than 150 pages and shall include all supporting data, assumptions, and methodology documentation.
  10. This Quotation Estimate is prepared specifically for the client named above and for the project reference indicated. It may not be transferred, assigned, or used for any other purpose without the prior written consent of Golden Gate Petroleum Engineering Group, Inc.
