2. SCOPE OF PHARMACIST SERVICES

This Quotation Estimate is issued by the undersigned Pharmacist to provide comprehensive pharmaceutical consulting, medication management, and clinical pharmacy services within the jurisdiction of Argentina Córdoba. The services outlined below are designed to meet the regulatory standards established by the Córdoba Provincial Health Ministry (Ministerio de Salud de la Provincia de Córdoba) and the national ANMAT (Administración Nacional de Medicamentos, Alimentos y Tecnología Médica) guidelines. The Pharmacist shall operate in full compliance with the Código de Ética Farmacéutica vigente in the province of Córdoba, Argentina.

Note: All prices in this Quotation Estimate are expressed in Argentine Pesos (ARS) and are subject to adjustment in the event of a change in the official exchange rate or a modification in the provincial tax regime of Córdoba, Argentina. The Pharmacist reserves the right to update pricing if the engagement extends beyond the validity period stated herein. 4. TERMS AND CONDITIONS

1. Validity: This Quotation Estimate is valid for thirty (30) calendar days from the date of issue. After this period, the Pharmacist may revise the pricing to reflect current market conditions in Argentina Córdoba.
2. Payment Terms: Payment shall be made in monthly installments of ARS 2,073,133.33 (inclusive of IVA), due on the 5th business day of each month. The first installment is due upon commencement of services. Payment shall be made via bank transfer to the account specified in the formal contract.
3. Commencement: Services shall commence within ten (10) business days of mutual signature of the definitive service agreement, provided all regulatory clearances from the Córdoba health authority have been obtained.
4. Professional Liability: The Pharmacist shall maintain professional liability insurance (Seguro de Responsabilidad Profesional) with a minimum coverage of ARS 50,000,000, as required by the Cámara de Farmacéuticos de Córdoba. A certificate of coverage shall be provided prior to the start of services.
5. Confidentiality: The Pharmacist shall treat all patient data, institutional records, and proprietary information of the client with strict confidentiality in accordance with Argentine Law 25.326 (Protección de Datos Personales) and applicable Córdoba provincial regulations.
6. Termination: Either party may terminate the engagement with thirty (30) days’ written notice. In the event of early termination by the client, a pro-rata charge for services already rendered shall apply.
7. Governing Law: This Quotation Estimate and any resulting contract shall be governed by the laws of the Province of Córdoba, Argentina, and the national Argentine legal framework. Any disputes shall be resolved in the competent courts of Córdoba Capital.
8. Force Majeure: Neither party shall be liable for delays or non-performance resulting from events beyond reasonable control, including but not limited to natural disasters, pandemics, government decrees, or strikes affecting the Córdoba region.
9. Regulatory Compliance: The Pharmacist warrants that all services will be performed in strict adherence to the Código de Ética Farmacéutica, ANMAT regulations, and the specific ordinances of the Municipalidad de Córdoba regarding pharmaceutical practice.
10. Intellectual Property: All reports, training materials, and documentation produced by the Pharmacist under this engagement shall become the property of the client upon full payment, subject to the Pharmacist’s right to reference the work in professional portfolios.

5. ACCEPTANCE AND SIGNATURES

By signing below, both parties acknowledge that this Quotation Estimate represents a good-faith offer for the described Pharmacist services in Argentina Córdoba and that a binding contractual relationship shall be established upon execution of the formal service agreement incorporating the terms herein.
