1. This Quotation Estimate is valid for a period of thirty (30) calendar days from the date of issue. Beyond this period, all rates and terms are subject to revision due to market fluctuations in the United Kingdom Birmingham pharmaceutical labour market.
2. The Pharmacist supplied under this agreement shall hold a current General Pharmaceutical Council (GPhC) registration and shall maintain this registration throughout the entire contract period. 3. Payment terms: Invoices shall be issued on a monthly basis in arrears. Payment is due within thirty (30) days of the invoice date via BACS transfer to the MediPharm Solutions Ltd. bank account. Late payments shall attract interest at a rate of 4% above the Bank of England base rate, in accordance with the Late Payment of Commercial Debts (Interest) Act 1998.
4. The Pharmacist shall be subject to the employment laws of England and Wales, including the Working Time Regulations 1998, the Equality Act 2010, and the Health and Safety at Work etc. Act 1974, as applicable to the United Kingdom Birmingham jurisdiction.
5. Either party may terminate this agreement with a written notice period of eight (8) weeks. In the event of termination, MediPharm Solutions Ltd. shall use reasonable endeavours to source a replacement Pharmacist of equivalent qualifications and experience within fourteen (14) calendar days.
6. All personal data processed in connection with this Quotation Estimate and the subsequent engagement shall be handled in strict compliance with the UK General Data Protection Regulation (UK GDPR) and the Data Protection Act 2018.
7. This Quotation Estimate does not constitute a binding contract until it has been signed and dated by both parties. Upon acceptance, a formal Service Level Agreement (SLA) and Employment/Contract for Services documentation will be executed.
8. Any disputes arising from this engagement shall be resolved through mediation in Birmingham, United Kingdom, in accordance with the rules of the Centre for Effective Dispute Resolution (CEDR). If mediation fails, the matter shall be subject to the exclusive jurisdiction of the courts of England and Wales.
