1. Validity: This Quotation Estimate shall remain valid for a period of sixty (60) calendar days from the date of issue. Beyond this period, all rates and conditions are subject to revision by Algeria Scientific Consulting Group.
2. Payment Terms: Payment shall be made in monthly installments within fifteen (15) business days of invoice issuance. A 10% advance payment is required upon contract signature to secure the Physicist's availability in Algiers.
3. Scope Modification: Any change to the scope of the Physicist's duties, additional research objectives, or extended engagement beyond the initial twelve-month term in Algeria, Algiers, shall be subject to a supplementary Quotation Estimate issued by ASCG.
4. Intellectual Property: All research findings, experimental data, and publications produced by the Physicist during the engagement period shall be jointly owned by the client and ASCG, in accordance with Algerian intellectual property law (Law 03-04 of 2003).
5. Confidentiality: The Physicist shall adhere to strict confidentiality obligations regarding all proprietary data, unpublished research, and internal communications of the client institution in Algiers.
6. Termination: Either party may terminate the engagement with a written notice of thirty (30) days. In such case, payment shall be due for all services rendered up to the termination date.
7. Governing Law: This Quotation Estimate and the resulting contract shall be governed by the laws of the People's Democratic Republic of Algeria. Any disputes shall be resolved through the competent courts of Algiers.
8. Force Majeure: Neither party shall be liable for delays or failures in performance resulting from events beyond reasonable control, including but not limited to natural disasters, government mandates, or public health emergencies affecting operations in Algeria.
