3.1 Validity: This Quotation Estimate is valid for a period of thirty (30) calendar days from the date of issuance. After this period, all rates and conditions are subject to revision due to fluctuations in the Argentine peso exchange rate and market conditions in Argentina Buenos Aires.
3.2 Payment Terms: Payment shall be made in monthly installments within fifteen (15) business days of invoice issuance. The client may opt for payment in Argentine Pesos (ARS) or United States Dollars (USD) at the official exchange rate published by the Banco Central de la República Argentina (BCRA) on the date of invoicing.
3.3 Scope Limitations: The Physicist engagement is limited to the services explicitly described in Section 2. Any additional research tasks, extended laboratory hours, or emergency consultations beyond the agreed scope will require a supplementary Quotation Estimate and written approval from both parties.
3.4 Intellectual Property: All research findings, data, models, and publications generated during the engagement shall be jointly owned by the client and Sciencia Consulting Group S.A., unless otherwise agreed in a separate intellectual property addendum. The Physicist shall not disclose proprietary information to third parties without written consent.
3.5 Compliance: All services shall be performed in full compliance with Argentine national regulations, including but not limited to the Ley de Contrato de Trabajo (Labor Contract Law), the Argentine Tax Code (Código Fiscal), and the regulations of the Comisión Nacional de Energía Atómica (CNEA) where applicable to the research conducted in Argentina Buenos Aires.
3.6 Cancellation: Either party may terminate the engagement with a minimum of thirty (30) days written notice. In the event of early termination by the client, a cancellation fee equivalent to 15% of the remaining contract value shall apply.
3.7 Force Majeure: Neither party shall be held liable for delays or non-performance resulting from events beyond reasonable control, including but not limited to natural disasters, government-mandated closures, or economic emergencies declared in Argentina Buenos Aires.
By signing below, both parties acknowledge that this Quotation Estimate accurately represents the agreed-upon terms for the engagement of the Physicist and that all services will be rendered within the Argentina Buenos Aires metropolitan area as specified herein.
