Payment for this Quotation Estimate shall be structured as follows: an initial deposit of 20% (EUR 60,975.60) due upon contract signature; monthly invoices issued on the 1st of each calendar month, payable within 30 days via SEPA bank transfer to the account designated in Germany Frankfurt. Late payments shall incur interest at the statutory German rate (Basiszinssatz + 5 percentage points for business transactions) as per § 288 of the German Civil Code (BGB).
5. Terms & Conditions- Validity: This Quotation Estimate is valid for a period of 90 calendar days from the date of issue. After this period, all rates and terms are subject to revision.
- Termination: Either party may terminate the engagement with 60 days' written notice. In the event of early termination, a pro-rata charge for services rendered plus a 10% administrative fee will apply.
- Intellectual Property: All research outputs, data, and inventions generated by the Physicist during the engagement in Germany Frankfurt shall be jointly owned by the client and the Physicist, as stipulated in a separate IP agreement.
- Confidentiality: The Physicist agrees to maintain strict confidentiality in accordance with German trade secret law (Geschäftsgeheimnisgesetz – GeschGehG) and the EU Trade Secrets Directive.
- Governing Law: This Quotation Estimate and the resulting contract shall be governed by the laws of the Federal Republic of Germany. Disputes shall be resolved by the competent courts in Frankfurt am Main, Hesse.
- Insurance: The Physicist shall maintain professional liability insurance (Berufshaftpflichtversicherung) with a minimum coverage of EUR 1,000,000 per claim, valid throughout the service period in Germany Frankfurt.
