2. All services will be performed in accordance with the professional standards set by the Israel Physical Society and applicable regulations of the Israel Ministry of Science and Technology.
3. The Physicist shall maintain full confidentiality of all proprietary data, unpublished results, and intellectual property belonging to the client. A mutual Non-Disclosure Agreement (NDA) is a prerequisite to commencement.
4. Intellectual property generated during the engagement shall be jointly owned by the client and the consulting firm, unless otherwise stipulated in a separate IP schedule.
5. Work location is primarily the client's premises in Israel Tel Aviv. Any relocation of the primary work site to another city requires written mutual consent and may incur additional travel costs.
6. Payment terms: Net 30 days from invoice date. Late payments shall accrue interest at the rate prescribed by the Israeli Late Payment Law (Hokhachat HaTashlumim HaMe'ahherim).
7. Either party may terminate the engagement with thirty (30) days' written notice. In such an event, the client shall pay for all services rendered up to the termination date, plus a 10% early-termination fee.
