3. Terms and Conditions of This Quotation Estimate
- This Quotation Estimate is valid for a period of thirty (30) calendar days from the date of issue. Beyond this period, rates and availability of the Physicist consultant are subject to revision.
- All services will be executed in Italy Naples unless otherwise agreed in writing. The client shall provide necessary laboratory access, safety clearances, and institutional authorization for on-site work at the Via Cintia complex.
- Payment terms: 40% advance payment upon acceptance of this Quotation Estimate; 40% upon completion of the on-site consultancy phase; 20% upon final delivery of the technical report and all documentation.
- Payments shall be made via bank transfer to the account of Meridian Scientific Consulting S.r.l., IBAN: IT60 X054 2811 1000 0000 0123 456, BIC: BLOPIT22. All amounts are denominated in Euro (EUR).
- The Physicist consultant shall maintain full professional confidentiality regarding all data, methodologies, and unpublished results encountered during the engagement in Naples, Italy. A Non-Disclosure Agreement (NDA) shall be executed prior to commencement of work.
- Any additional services beyond the scope defined herein shall be subject to a supplementary Quotation Estimate issued by Meridian Scientific Consulting and accepted in writing by the client.
- This Quotation Estimate does not constitute a binding contract until formally accepted by both parties via signed purchase order or contract agreement.
- Applicable law: Italian Civil Code (Codice Civile) and relevant EU regulations governing scientific research consultancy services. Jurisdiction: Courts of Naples, Italy.
- The consultant retains intellectual property rights over pre-existing methodologies and frameworks. All newly developed work products created specifically for the client during this engagement shall be the property of the client upon full payment.
- Force majeure: Neither party shall be liable for delays or non-performance caused by events beyond reasonable control, including but not limited to natural disasters, government mandates, or institutional closures affecting operations in Italy Naples.
