2. Scope of Services – Physicist Engagement
This Quotation Estimate is issued by Quantum Dynamics & Applied Physics Group (QDAPG) to provide a comprehensive and itemised cost breakdown for the engagement of a senior Physicist to deliver specialised research, analytical, and advisory services to Van der Berg Advanced Materials B.V. All services described herein will be performed within the jurisdiction of Netherlands Amsterdam, in full compliance with Dutch labour regulations, the Dutch Working Conditions Act (Arbeidsomstandighedenwet), and applicable European Union research data protection directives.
The Physicist engaged under this Quotation Estimate shall hold a minimum of a PhD in Theoretical or Applied Physics from an accredited institution, possess a minimum of twelve (12) years of post-doctoral research experience, and demonstrate proven expertise in quantum field theory, condensed matter physics, and computational modelling. The Physicist will be based at the client's premises in Netherlands Amsterdam for the duration of the engagement, with the option of remote collaboration from the QDAPG laboratory facility located on Keizersgracht, Amsterdam.

4. Payment Terms
Payment for the services outlined in this Quotation Estimate shall be made in three (3) equal instalments of €24,983.87 (inclusive of 21% Dutch BTW/VAT), due at the commencement of the engagement, at the midpoint (month three), and upon final delivery of all deliverables. Payment shall be made via bank transfer to the QDAPG account at ING Bank N.V., Amsterdam, Netherlands (IBAN: NL91 INGB 0001 2345 67). Invoices will be issued in accordance with Dutch tax regulations and the EU VAT Directive 2006/112/EC. Late payments shall accrue interest at the statutory Dutch rate as defined under Article 6:119a of the Dutch Civil Code (Burgerlijk Wetboek).
5. Terms & Conditions
- This Quotation Estimate is valid for a period of ninety (90) days from the date of issue. Beyond this period, all rates and availability of the Physicist are subject to re-evaluation and written confirmation.
- All services will be rendered in Netherlands Amsterdam unless otherwise agreed in writing. The Physicist shall comply with all applicable Dutch employment, health & safety, and data protection laws (including the Dutch implementation of GDPR – AVG).
- Intellectual property generated by the Physicist during the course of this engagement shall be jointly owned by QDAPG and the Client, as stipulated in the separate IP Protection Agreement (Item 08).
- The Physicist is bound by strict confidentiality obligations. Any breach of confidentiality shall result in immediate termination of this Quotation Estimate engagement and potential legal action under Dutch law.
- Force majeure events, as defined under Articles 6:75 and 6:76 of the Dutch Civil Code, shall suspend obligations under this agreement without liability for either party.
- Any disputes arising from this Quotation Estimate shall be resolved by the competent courts of Amsterdam, Netherlands, or by binding arbitration under the rules of the Netherlands Arbitration Institute (NVI), seated in Amsterdam.
- This Quotation Estimate does not constitute a binding contract until countersigned by both parties. The engagement of the Physicist is contingent upon mutual written acceptance.
