- This Quotation Estimate is valid for thirty (30) calendar days from the date of issue. After the expiration date, all rates and terms are subject to revision without prior notice.
- Payment terms: Fifty percent (50%) of the total amount is due upon acceptance of this Quotation Estimate and execution of the formal service agreement. The remaining fifty percent (50%) is due upon delivery of the final technical report and completion of both presentation sessions.
- All services will be performed by the designated Physicist, Dr. Marcus Thornton, or by a qualified substitute of equivalent credentials approved in writing by the client. No substitution shall occur without at least five (5) business days' prior notice.
- The Physicist and Apex Scientific Consulting Group shall maintain strict confidentiality regarding all proprietary data, experimental results, and intellectual property belonging to the client. A mutual Non-Disclosure Agreement (NDA) shall be executed prior to the commencement of any work.
- All work product, including simulation code, data sets, and the final technical report, shall become the sole property of the client upon full payment. The Physicist retains the right to reference the engagement in professional portfolios and academic publications, subject to the client's prior written approval.
- This engagement is governed by the laws of the State of California and the federal laws of the United States. Any disputes arising from this Quotation Estimate or the resulting service agreement shall be resolved through binding arbitration in Los Angeles, California, in accordance with the rules of the American Arbitration Association.
- The Physicist is engaged as an independent contractor and not as an employee or agent of the client. The Physicist is responsible for all applicable federal and state income taxes, Social Security contributions, and professional liability insurance, which shall be maintained at a minimum coverage of $1,000,000 per occurrence.
- Any changes to the scope of work, additional days of on-site supervision, or extended post-engagement support beyond the terms outlined in this Quotation Estimate will be billed at the hourly rates specified above and require a written change order signed by both parties.
