- Acceptance: This Quotation Estimate shall be deemed accepted upon written signature by the authorized representative of the Politician's campaign office. Acceptance must be communicated to Nomea Political Advisory S.r.l. within the validity period stated above.
- Payment Schedule: Payment shall be made in four equal quarterly installments of € 77,797.88 (including IVA), due on the 1st of January, April, July, and October 2025. Payments shall be made via bank transfer to the provider's designated account in Milan, Italy.
- Confidentiality: All strategic materials, voter data, and campaign intelligence developed under this engagement are classified as strictly confidential. The Politician's personal data shall be processed in full compliance with the EU General Data Protection Regulation (GDPR) and Italian Legislative Decree 196/2003.
- Intellectual Property: All deliverables, including strategy documents, speeches, and media content, shall become the exclusive property of the Politician's campaign upon full payment of the corresponding invoice.
- Termination: Either party may terminate this agreement with 30 days' written notice. In the event of early termination, all services rendered up to the termination date shall be invoiced at the rates specified in this Quotation Estimate.
- Governing Law & Jurisdiction: This agreement is governed by the laws of the Italian Republic. Any disputes arising from this Quotation Estimate shall be subject to the exclusive jurisdiction of the Tribunale di Milano (Court of Milan), Italy.
- Force Majeure: Neither party shall be liable for delays or failures in performance resulting from events beyond reasonable control, including but not limited to natural disasters, political instability, or government-mandated restrictions affecting public gatherings in Milan or the Lombardy region.
- Regulatory Compliance: The Politician and the campaign office acknowledge that all campaign activities must comply with the provisions of the Italian Electoral Code and the regulations of the Corte dei Conti regarding public funding and expenditure limits for regional elections in Italy.
