- Acceptance: This Quotation Estimate is valid for thirty (30) calendar days from the date of issue. Acceptance is confirmed by the Politician's authorised representative signing the acceptance block below or by written email confirmation to the address stated in the header.
- Payment Terms: Invoices will be issued monthly in arrears. Payment is due within fourteen (14) calendar days of the invoice date via bank transfer to the account details provided on each invoice. Late payments will attract interest at the rate prescribed under the Interest on Debts Act 1978 (New Zealand).
- Scope Changes: Any material change to the scope of services outlined in this Quotation Estimate will require a written variation agreement signed by both parties. Additional services outside the agreed scope will be quoted separately.
- Confidentiality: Te Whare Pōtiro Consulting Group Ltd acknowledges the sensitive nature of political communications. All information pertaining to the Politician's strategy, policy positions, and constituency data will be treated as strictly confidential and will not be disclosed to third parties without written consent, in accordance with the Privacy Act 2020 (New Zealand).
- Intellectual Property: All materials, reports, and content created specifically for the Politician under this engagement shall remain the property of the client upon full payment. Te Whare Pōtiro retains ownership of pre-existing methodologies, templates, and proprietary tools.
- Termination: Either party may terminate this agreement with thirty (30) days' written notice. Upon termination, the Politician will be invoiced for all services rendered up to the termination date. No penalty applies for early termination beyond the notice period.
- Compliance: All services will be delivered in compliance with the Electoral Act 1993, the Local Electoral Act 2001, the Privacy Act 2020, and all applicable New Zealand employment and health and safety legislation. The Politician remains ultimately responsible for the political content and decisions made in their capacity as an elected representative.
- Governing Law: This Quotation Estimate and any resulting contract shall be governed by and construed in accordance with the laws of New Zealand. Any disputes shall be resolved in the District Court of Auckland, New Zealand.
- Force Majeure: Neither party shall be liable for failure to perform obligations due to events beyond reasonable control, including but not limited to natural disasters (e.g., earthquakes, volcanic activity in the Auckland region), government-imposed restrictions, or pandemics.
- Entire Agreement: This Quotation Estimate, once accepted, constitutes the entire agreement between the parties regarding the services described herein and supersedes all prior negotiations, representations, or agreements.
By signing below, the Politician (or their authorised representative) accepts this Quotation Estimate and authorises Te Whare Pōtiro Consulting Group Ltd to commence the services described herein in New Zealand Auckland.
