1. Validity: This Quotation Estimate is valid for a period of ninety (90) days from the date of issue. Should the client wish to proceed after the expiry date, the Professor reserves the right to revise the rates and terms contained herein.
2. Payment Terms: Payment is due within thirty (30) days of invoice date. Invoices will be issued monthly in arrears. A 15% deposit is required upon acceptance of this Quotation Estimate to secure the Professor's calendar availability for the engagement period.
3. Cancellation: Cancellation by the client with less than fourteen (14) days' written notice will incur a fee of 25% of the remaining contract value. Cancellation by the Professor will result in a full refund of any pre-paid amounts for services not yet rendered.
4. Intellectual Property: All research outputs, reports, and deliverables produced under this engagement shall be jointly owned by the Professor and the client, as detailed in a separate Intellectual Property Agreement to be executed prior to commencement of work in Australia Brisbane.
5. Confidentiality: Both parties agree to maintain strict confidentiality regarding all proprietary information exchanged during the course of this engagement, in accordance with the Privacy Act 1988 (Cth) and applicable Queensland state legislation.
6. Governing Law: This Quotation Estimate and any resulting contract shall be governed by and construed in accordance with the laws of the State of Queensland, Australia. Any disputes shall be resolved through mediation in Brisbane, Queensland, before referral to the Supreme Court of Queensland.
7. Force Majeure: Neither party shall be liable for failure to perform obligations due to events beyond reasonable control, including but not limited to natural disasters, pandemics, or government-imposed restrictions affecting operations in Australia Brisbane.
