The Professor agrees to render the following professional services to the client, to be performed primarily at the client's premises in downtown Rio de Janeiro and, where applicable, at the Federal University of Rio de Janeiro campus in the Gávea district:

• Payment Schedule: The total amount set forth in this Quotation Estimate shall be paid in three (3) equal installments of R$ 40.266,67 each. The first installment is due upon signature of the service agreement. The second installment is due at the midpoint of the engagement (month three). The third and final installment is due upon delivery and acceptance of the final feasibility report and completion of all lecture sessions.
• Payment Method: All payments shall be made via bank transfer (TED or PIX) to the account designated by the Professor, held at Banco do Brasil S.A., Ag. 1234-5, Conta Corrente 67890-1, in the city of Rio de Janeiro, Brazil. Alternatively, payment may be made by corporate check drawn on a Brazilian financial institution.
• Tax Considerations: The amounts quoted in this Quotation Estimate are inclusive of all applicable Brazilian federal, state, and municipal taxes, including but not limited to ISS (Imposto Sobre Serviços) levied by the Municipality of Rio de Janeiro, IRPF (Imposto de Renda da Pessoa Física) withheld at source, and any applicable INSS contributions. The client shall be responsible for any additional taxes or fees imposed by Brazilian federal legislation after the date of this Quotation Estimate.
• Late Payment: Overdue installments shall accrue a monthly interest rate equivalent to the Selic rate published by the Central Bank of Brazil (Banco Central do Brasil), plus a 2% penalty fee, in accordance with Article 41 of the Brazilian Civil Code (Lei nº 10.406/2002).

This Quotation Estimate shall remain valid for a period of thirty (30) calendar days from the date of issue, after which the Professor reserves the right to revise the pricing and terms without prior notice. Acceptance of this Quotation Estimate shall be effected by the client's written signature on the accompanying service contract, which shall incorporate all terms, conditions, and pricing details set forth herein.

This Quotation Estimate and the resulting service agreement shall be governed by and construed in accordance with the laws of the Federative Republic of Brazil, with specific reference to the Brazilian Civil Code and the Consumer Protection Statute (Código de Defesa do Consumidor – Lei nº 8.078/1990) where applicable. The Professor further confirms that no conflict of interest exists between the services outlined herein and any other academic or professional commitments currently held. Should the client require any modifications to the scope of services after acceptance of this Quotation Estimate, a supplementary Quotation Estimate shall be issued to reflect the revised terms and costs.
