This Quotation Estimate is issued in response to the formal request submitted by IPAES for the engagement of a qualified Professor to deliver a comprehensive program of academic instruction, research supervision, and institutional consulting within the city of São Paulo, Brazil. The Professor engaged under this estimate shall hold a minimum of a Doctorate (PhD) in the relevant discipline and a minimum of ten (10) years of post-doctoral teaching and research experience at a recognized higher education institution.
The services described herein are tailored to the academic calendar and operational schedule of the client institution located in the metropolitan region of São Paulo. All on-site activities, including lectures, laboratory supervision, and committee participation, shall be conducted at the client's premises in São Paulo unless otherwise agreed in writing.

- This Quotation Estimate is valid for a period of thirty (30) calendar days from the date of issue. After this period, all rates and conditions are subject to revision without prior notice.
- The Professor reserves the right to reschedule individual sessions with a minimum of 48 hours' written notice. Rescheduling more than twice within a single month shall be subject to a 10% surcharge on the affected session fee.
- All services shall be performed in compliance with the academic and labor regulations applicable in the state of São Paulo, Brazil, including but not limited to the provisions of the Brazilian Federal Constitution regarding academic freedom and the state education statutes.
- Payment terms: 50% of the total estimated cost shall be due upon execution of the service agreement; the remaining 50% shall be payable within fifteen (15) business days following the delivery of the final comprehensive report.
- Any additional services or scope changes beyond those itemized in this Quotation Estimate shall require a written amendment signed by both parties before execution.
- Intellectual property generated during the engagement shall be jointly owned by the Professor and the client institution, as stipulated in the master service agreement. All materials produced in São Paulo under this estimate shall be delivered in both Portuguese and English.
- This Quotation Estimate does not constitute a binding contract. A formal service agreement must be executed by both parties prior to the commencement of any services.
- Disputes arising from this Quotation Estimate or the subsequent service agreement shall be resolved through arbitration in the city of São Paulo, Brazil, in accordance with the rules of the São Paulo Arbitration Court (CAM-SP).
By signing below, the client acknowledges receipt of this Quotation Estimate and confirms that the scope, rates, and terms described herein are acceptable. The Professor's engagement in São Paulo, Brazil, shall commence only upon mutual written confirmation and execution of the definitive service contract.
