This Quotation Estimate is issued in accordance with the professional service agreements governing the engagement of a Professor for academic, research, and consulting purposes within the province of Quebec and the city of Canada Montreal. The following services are to be rendered by a credentialed Professor (holding a Ph.D. or equivalent terminal degree) engaged under this Quotation Estimate. The Professor will operate primarily from the Montreal, Canada metropolitan area and may conduct sessions in person at the client's designated location within Canada Montreal or via approved virtual platforms.

  1. Validity: This Quotation Estimate is valid for a period of thirty (30) calendar days from the date of issue. Beyond this period, rates and availability of the Professor may be subject to revision.
  2. Acceptance: This Quotation Estimate does not constitute a binding contract until formally accepted in writing by the client and countersigned by both parties. Upon acceptance, a definitive Service Agreement will be executed.
  3. Payment Terms: Payment is due within thirty (30) days of invoice date. A 1.5% monthly late payment interest rate will apply to overdue balances, as permitted under the Quebec Civil Code and the federal Interest Act of Canada.
  4. Professor Availability: The engagement of the Professor is subject to prior academic commitments. A minimum of fourteen (14) days' notice is required for scheduling changes or cancellations. Cancellations within fourteen (14) days will incur a 25% fee of the scheduled session value.
  5. Intellectual Property: All materials, curricula, and research outputs created by the Professor specifically for the client under this Quotation Estimate shall become the property of the client upon full payment. Pre-existing intellectual property of the Professor remains the Professor's sole property.
  6. Confidentiality: The Professor and our organization shall maintain strict confidentiality regarding all proprietary information, student data, and institutional records encountered during the engagement in Canada Montreal, in compliance with the Quebec Act Respecting the Protection of Personal Information (Law 25) and the federal Personal Information Protection and Electronic Documents Act (PIPEDA).
  7. Governing Law: This Quotation Estimate and any resulting agreement shall be governed by and interpreted in accordance with the laws of the Province of Quebec and the federal laws of Canada applicable therein.
  8. Dispute Resolution: Any disputes arising from this Quotation Estimate shall be resolved through mediation in Montreal, Canada, before resorting to litigation in the competent courts of the Province of Quebec.
  9. Force Majeure: Neither party shall be liable for delays or failures in performance resulting from events beyond reasonable control, including but not limited to natural disasters, pandemics, government mandates, or labor disputes affecting operations in Canada Montreal.
  10. Revisions: This Quotation Estimate is an estimate only. Final invoicing may vary by up to 10% based on actual hours delivered, additional materials required, or scope changes mutually agreed upon in writing.
