Should the client's operations extend to other Canadian provinces, applicable provincial tax rates will be adjusted accordingly upon written request.
  • Deposit: 30% of the Grand Total ($25,679.25 CAD) is due upon acceptance of this Quotation Estimate and execution of the formal service agreement. This deposit secures the Professor's calendar availability for the 12-week engagement period.
  • Progress Payment: 40% of the Grand Total ($34,239.00 CAD) is due at the completion of Week 6 of the consulting program, coinciding with the delivery of the interim research findings memorandum.
  • Final Payment: The remaining 30% of the Grand Total ($25,679.25 CAD) is due within 14 calendar days of the delivery of the final research report and the executive board briefing presentation.
  • Payment Method: All payments shall be made via electronic funds transfer (EFT) to the designated account of the Professor's consulting entity, registered in Toronto, Ontario, Canada. Cheques payable to "Thornton Academic Consulting Inc." are also accepted.
  • Late Payment: Overdue balances shall accrue interest at a rate of 1.5% per month, in compliance with the Ontario Interest Act and applicable Canadian commercial law.
  • This Quotation Estimate is valid for a period of 30 calendar days from the date of issue. After the expiry date, all rates and availability are subject to revision.
  • The Professor reserves the right to decline or modify the scope of work if the engagement conflicts with existing academic obligations at the University of Toronto or other institutional commitments within Canada Toronto.
  • All intellectual property, research findings, and deliverables produced under this engagement shall become the sole property of the client upon full and final payment. The Professor retains the right to reference the engagement in academic publications with the client's prior written consent.
  • Confidentiality: The Professor and all associated research assistants shall adhere to a strict non-disclosure agreement (NDA) in accordance with the Personal Information Protection and Electronic Documents Act (PIPEDA) of Canada and Ontario's Personal Information Protection Act (PIPA).
  • Cancellation: Should the client cancel the engagement prior to commencement, the 30% deposit shall be non-refundable. Cancellation after Week 1 but before Week 6 shall result in a 50% refund of the deposit. Cancellation after Week 6 shall forfeit the deposit in full.
  • Force Majeure: Neither party shall be held liable for delays or non-performance resulting from events beyond reasonable control, including but not limited to natural disasters, public health emergencies, or government-mandated closures affecting operations in Canada Toronto.
  • Governing Law: This Quotation Estimate and any resulting service agreement shall be governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein.
  • Dispute Resolution: Any disputes arising from this engagement shall first be subject to good-faith mediation in Toronto, Ontario. Should mediation fail, disputes shall be resolved through binding arbitration under the rules of the Arbitration Association of Canada, with the seat of arbitration in Toronto.

By signing below, the client acknowledges and accepts the terms, conditions, and pricing outlined in this Quotation Estimate for the Professor's professional services in Canada Toronto. This document, once countersigned by both parties, constitutes a binding preliminary agreement pending the execution of the full Master Service Agreement.
