Validity: This Quotation Estimate is valid for a period of ninety (90) calendar days from the date of issue. Should the Client wish to proceed after the expiry date, the Professor reserves the right to revise the rates and reissue a new Quotation Estimate reflecting current market conditions in Germany Frankfurt.
Payment Terms: A deposit of forty percent (40%) of the total amount, i.e., EUR 12,347.44, is due within fourteen (14) days of acceptance of this Quotation Estimate. The remaining sixty percent (60%) shall be invoiced upon completion of all services and is payable within thirty (30) days of the final invoice date. Payments shall be made via bank transfer to the account of the Goethe-Universität Frankfurt am Main, IBAN: DE89 3704 0044 0532 0130 00, BIC: COBADEFFXXX.
Scope Changes: Any modification to the scope of services outlined in Section 2 must be agreed upon in writing by both parties. Additional hours or sessions beyond the quoted quantities will be billed at the Professor's standard hourly rate of EUR 220.00 plus applicable German VAT.
Intellectual Property: All lecture materials, research outputs, and written analyses produced by the Professor under this engagement shall remain the intellectual property of the Professor unless otherwise stipulated in a separate licensing agreement. The Client receives a non-exclusive, non-transferable licence to use the materials for internal research purposes within Germany Frankfurt and the European Union.
Confidentiality: The Professor undertakes to treat all proprietary data, unpublished research, and internal documents of the Client as strictly confidential in accordance with the German Federal Data Protection Act (Bundesdatenschutzgesetz, BDSG) and the EU General Data Protection Regulation (GDPR).
Governing Law and Jurisdiction: This Quotation Estimate and any resulting contractual relationship shall be governed by the laws of the Federal Republic of Germany. Any disputes arising herefrom shall be subject to the exclusive jurisdiction of the competent courts in Frankfurt am Main, Hesse, Germany.
Force Majeure: Neither party shall be liable for delays or failures in performance resulting from events beyond reasonable control, including but not limited to natural disasters, pandemics, government-mandated closures of academic institutions in Germany Frankfurt, or strikes affecting public transport in the Frankfurt metropolitan region.
Acceptance: This Quotation Estimate does not constitute a binding contract until formally accepted in writing by the Client and countersigned by the Professor or his authorised representative.
