This Quotation Estimate is issued in response to the formal request received from TechNova Solutions Pvt. Ltd. for the engagement of a qualified Professor to deliver a comprehensive suite of academic, research, and industry-consulting services. The Professor to be engaged holds a Ph.D. in Computer Science & Artificial Intelligence from the Indian Institute of Science (IISc), India Bangalore, with over 18 years of combined academic and industry experience. The engagement is structured to support the client's R&D objectives, internal training programmes, and strategic technology advisory needs within the India Bangalore metropolitan area and, where required, remotely across India.

1. This Quotation Estimate is valid for a period of thirty (30) calendar days from the date of issue. Beyond this period, rates may be revised to reflect current market conditions in the India Bangalore academic and consulting sector.
2. The Professor named in this engagement shall be Dr. R. K. Venkatesh, Professor of Computer Science, IISc, India Bangalore. In the event of unavailability, a substitute of equivalent or superior qualification shall be proposed in writing and accepted by the client before substitution.
3. Payment terms: 40% advance upon acceptance of this Quotation Estimate, 40% upon completion of the sixth month, and 20% upon successful completion of the full twelve-month engagement. All payments shall be made via NEFT/RTGS to the designated bank account in India Bangalore.
4. All intellectual property (IP) generated jointly during the research collaboration (Item 3) shall be co-owned as per a separate IP Agreement to be executed prior to commencement. Sole IP generated by the Professor outside the scope of this engagement remains the property of the Professor.
5. The Professor shall maintain professional confidentiality regarding all proprietary information, trade secrets, and internal data of the client. A Non-Disclosure Agreement (NDA) shall be executed concurrently with the service agreement.
6. Any change in scope, additional sessions, or extended engagement beyond the twelve-month period shall be subject to a revised Quotation Estimate issued separately and accepted in writing by both parties.
7. Applicable law: This Quotation Estimate and the resulting service agreement shall be governed by the laws of India. Any disputes shall be subject to the exclusive jurisdiction of the competent courts in India Bangalore, Karnataka.
8. Taxes: All amounts are exclusive of GST. GST at 18% has been applied as per the prevailing Indian tax structure. TDS, if applicable under Section 194J of the Income Tax Act, 1961, shall be deducted by the client and remitted to the appropriate authority in India Bangalore.
9. This Quotation Estimate does not constitute a binding contract until formally accepted in writing by the client and countersigned by the service provider.

By signing below, the client acknowledges receipt of this Quotation Estimate and agrees to the terms outlined herein for the engagement of the Professor as described. The service provider confirms the availability of the Professor and the accuracy of all rates quoted for the India Bangalore operational region.
