- Validity: This Quotation Estimate remains valid for a period of ninety (90) calendar days from the date of issue. Any acceptance beyond this period will require a revised Quotation Estimate reflecting updated rates and availability of the Professor.
- Payment Schedule: A non-refundable advance payment of thirty percent (30%) of the total Quotation Estimate amount is due upon contract signature. The remaining seventy percent (70%) shall be disbursed in three equal monthly instalments aligned with the delivery milestones outlined in the project work plan for Iraq Baghdad.
- Applicable Law: This Quotation Estimate and any resulting contract shall be governed by and interpreted in accordance with the laws of the Republic of Iraq. Any disputes shall be resolved through arbitration in Baghdad under the rules of the Iraqi Centre for Arbitration and Reconciliation.
- Intellectual Property: All curricula, training materials, research outputs, and digital resources developed by the Professor under this engagement in Iraq Baghdad shall be jointly owned by the Professor and the contracting Iraqi institution, with full usage rights granted to the institution for academic purposes.
- Force Majeure: Neither party shall be held liable for delays or non-performance resulting from events beyond reasonable control, including but not limited to political instability, natural disasters, or government-imposed restrictions within Iraq Baghdad.
- Confidentiality: The Professor and all supporting personnel shall maintain strict confidentiality regarding institutional data, student records, and internal policy documents accessed during the course of services in Iraq Baghdad.
- Amendments: Any modification to the scope, timeline, or financial terms of this Quotation Estimate must be documented in a written addendum signed by both parties before implementation.
