All payments under this Quotation Estimate shall be made in Israeli New Shekels (ILS) via bank transfer to the designated account of the Professor or the Consortium's finance office in Tel Aviv. The payment schedule is structured as follows:
- 30% advance payment upon signed acceptance of this Quotation Estimate, due within 14 calendar days of the issue date.
- Monthly retainer payments (Item 01) to be processed on the first business day of each month, commencing September 2025.
- Per-service payments (Items 02 through 08) to be invoiced monthly and settled within 30 days of invoice receipt.
- Final settlement of all outstanding balances to be completed within 45 days of the engagement's conclusion in August 2026.
- This Quotation Estimate is valid for a period of ninety (90) days from the date of issue. Beyond this period, all rates and terms are subject to revision based on prevailing academic labor market conditions in Tel Aviv, Israel.
- The Professor's engagement is governed by the Israeli Higher Education Law (5762-2002) and the relevant employment regulations of the State of Israel. All intellectual property produced during the engagement shall be jointly owned by the Professor and the Consortium, as stipulated in the separate Intellectual Property Agreement.
- Either party may terminate the engagement with a written notice of sixty (60) days. In the event of early termination, all services rendered up to the termination date shall be invoiced in full, and no penalty shall apply.
- The Professor is entitled to a minimum of four (4) weeks of paid academic leave per year, in accordance with standard Israeli academic calendar practices, including the traditional Jewish holiday periods observed in Tel Aviv.
- All data collected, processed, or stored in connection with the Professor's research activities in Tel Aviv shall comply with the Israeli Privacy Protection Law (5741-1981) and the EU General Data Protection Regulation (GDPR) where applicable to international collaborations.
- This Quotation Estimate does not constitute a binding contract until countersigned by both parties. The final engagement contract, incorporating all terms herein, shall be executed in Hebrew and English, with the Hebrew text prevailing in the event of any discrepancy.
- Any disputes arising from this Quotation Estimate or the subsequent engagement shall be resolved through mediation in Tel Aviv, Israel, in accordance with the provisions of the Israeli Arbitration Law (5728-1968).
- The Professor shall maintain professional liability insurance with a minimum coverage of ILS 2,000,000 throughout the duration of the engagement in Tel Aviv.
