All payments shall be made in Euros (EUR) via bank transfer to the account designated by the Professor. The total amount of this Quotation Estimate shall be settled according to the following schedule:
- 30% advance payment (€ 24,799.86) due within 15 business days of contract signature.
- 40% interim payment (€ 33,066.88) due upon completion of the lecture cycle (end of Week 12).
- 30% final payment (€ 24,800.46) due within 30 days of the final deliverable acceptance.
Late payments shall incur interest at the rate of 1.5% per month, in accordance with Italian commercial law (Codice Civile, Art. 1284).
- This Quotation Estimate is valid for a period of ninety (90) calendar days from the date of issue. Beyond this period, all rates and availability must be reconfirmed in writing.
- The Professor reserves the right to reschedule individual sessions with a minimum of 72 hours' prior written notice, provided the total number of delivered hours remains unchanged.
- All services shall be performed within the Italy Milan metropolitan area (Comune di Milano and immediate surrounding municipalities). Travel beyond a 30 km radius from the city centre will be invoiced separately at € 0.80 per km.
- Intellectual property of all lecture materials, case studies, and research outputs produced under this engagement shall be jointly owned by the Professor and the client institution, as stipulated in a separate IP addendum.
- The Professor shall comply with all data protection obligations under the EU General Data Protection Regulation (GDPR) and the Italian Privacy Code (D.Lgs. 196/2003, as amended by D.Lgs. 101/2018).
- Force majeure events, including but not limited to public health emergencies, natural disasters, or government-mandated closures affecting the Milan area, shall suspend obligations without penalty for either party.
- Any dispute arising from this Quotation Estimate shall be resolved through binding arbitration seated in Milan, Italy, in accordance with the rules of the Milan Chamber of Commerce (Camera di Commercio di Milano).
- This document constitutes a non-binding estimate. A formal service agreement (Contratto di Prestazione d'Opera) must be executed before any services commence.
