This Quotation Estimate is issued in response to the formal request received from Barcelona Innovation & Technology Cluster (BITC) for the engagement of a senior academic professional to deliver a comprehensive programme of strategic advisory, executive education, and research consultancy services. The Professor named herein, Dr. Elena Marchetti, holds a full-time tenured position at the Universitat Autònoma de Barcelona and brings over twenty-two years of experience in applied economics, innovation policy, and corporate strategy within the Spain Barcelona economic ecosystem.

The engagement is structured to support BITC’s 2025–2026 strategic roadmap, focusing on technology transfer, SME growth acceleration, and the development of a regional innovation index for the Barcelona metropolitan area. All deliverables will be produced in both English and Catalan/Spanish to ensure accessibility for the full membership base of the cluster.

Validity: This Quotation Estimate is valid for thirty (30) calendar days from the date of issue. Should the client wish to proceed after the expiry date, a revised Quotation Estimate reflecting any changes in the Professor’s availability or market rates will be issued.
Payment Schedule: 30% advance payment upon acceptance of this Quotation Estimate; 40% upon completion of the Research & Data Analysis deliverable (Item 03); 30% upon final acceptance of all services at the conclusion of the 12-month engagement period. Invoices are payable within thirty (30) days of issue via bank transfer to the account specified on the invoice.
Intellectual Property: All reports, indices, and written materials produced under this engagement shall be jointly owned by the Professor and BITC, with mutual written consent required for any third-party publication or commercial exploitation. The Professor retains the right to cite the work in academic publications with appropriate attribution.
Confidentiality: The Professor and all associated research assistants shall be bound by a Non-Disclosure Agreement (NDA) executed prior to the commencement of services. All data pertaining to BITC member companies collected during the engagement in Spain Barcelona shall be stored in compliance with the EU General Data Protection Regulation (GDPR) and Spanish data protection law (LOPDGDD).
Force Majeure: Neither party shall be liable for delays or non-performance resulting from events beyond reasonable control, including but not limited to natural disasters, pandemics, government-mandated closures, or civil unrest affecting the Barcelona region.
Termination: Either party may terminate this engagement with sixty (60) days’ written notice. In the event of early termination, the client shall be invoiced for all services rendered up to the termination date, plus a 10% administrative fee on the remaining contract value.
Governing Law: This Quotation Estimate and any resulting contract shall be governed by and construed in accordance with the laws of Spain. Any disputes shall be resolved by the competent courts of Barcelona, Spain.
Substitution: In the event the Professor is unavailable due to illness or academic obligations, a suitably qualified substitute from the UAB Department of Economics shall be proposed, subject to the client’s written approval. No substitution shall reduce the quality or scope of services described herein.

By signing below, the client acknowledges that this Quotation Estimate accurately reflects the scope, cost, and terms of the proposed engagement of the Professor for the services described above, to be delivered in and around Spain Barcelona. Acceptance of this document constitutes a binding agreement between the parties.
