1. This Quotation Estimate is valid for a period of thirty (30) calendar days from the date of issue. Beyond this period, rates may be subject to revision based on market conditions in Tanzania Dar es Salaam.
2. Payment for the Professor's services shall be made in Tanzanian Shillings (TZS) via bank transfer to the account of East African Academic Consulting Ltd. at CRDB Bank, Dar es Salaam Branch, within fourteen (14) days of invoice issuance.
3. A mobilization advance of twenty-five percent (25%) of the total Quotation Estimate amount shall be payable upon signing of the service agreement, prior to the commencement of the Professor's engagement.
4. All services shall be performed in accordance with the professional standards expected of a full Professor in the Tanzanian higher education system, as regulated by the NCHE and the relevant university statutes.
5. The Professor's intellectual property, including lecture materials, research outputs, and curriculum documents produced under this engagement, shall be jointly owned by the Professor and the requesting institution, as stipulated in a separate Intellectual Property Agreement.
6. Any cancellation of the Professor's scheduled services must be communicated in writing at least seven (7) working days in advance. Cancellations within this period shall incur a fee of fifty percent (50%) of the scheduled session value.
7. This Quotation Estimate does not constitute a binding contract until both parties have executed the formal Service Agreement. The terms herein are indicative and subject to final negotiation.
8. All activities shall comply with the laws of the United Republic of Tanzania, including but not limited to the Employment and Labour Relations Act, the Income Tax Act, and the Value Added Tax Act as applicable in Dar es Salaam.
9. Disputes arising from this Quotation Estimate or the subsequent engagement of the Professor shall be resolved through mediation in Dar es Salaam, Tanzania, in accordance with the Arbitration Act, Cap. 20 of the Laws of Tanzania.
