1. Validity: This Quotation Estimate shall remain valid for a period of thirty (30) calendar days from the date of issue. After July 12, 2025, the Professor reserves the right to revise fees, availability, or scope of services without prior notice.

2. Payment Schedule: A non-refundable deposit of twenty-five percent (25%) of the Grand Total, amounting to $14,708.44, is due upon execution of the formal engagement contract. The remaining balance shall be invoiced in three equal monthly installments due on the 1st of August, September, and October 2025. All payments are to be made in United States Dollars via wire transfer to the account designated by the Professor's office at the University of Chicago.

3. Scope Modifications: Any changes to the scope of services outlined in this Quotation Estimate must be agreed upon in writing by both the Professor and the Client. Additional services beyond the itemized list will be billed at the Professor's standard hourly consulting rate of $450.00 per hour, subject to a minimum two-hour engagement.

4. Intellectual Property: All research findings, reports, lecture materials, and academic papers produced under this engagement shall be jointly owned by the Professor and the Client, unless otherwise specified in a separate intellectual property addendum. The Professor retains the right to publish academic findings in peer-reviewed journals with appropriate attribution to the Client's funding.

5. Confidentiality: The Professor and all associated research personnel shall maintain strict confidentiality regarding proprietary data, business strategies, and internal communications shared by the Client during the engagement period in United States Chicago. This obligation survives the termination of this Quotation Estimate for a period of three (3) years.

6. Cancellation Policy: Should the Client cancel the engagement prior to the commencement of services, the deposit shall be forfeited. Cancellation during the engagement period will result in a pro-rata charge for all services rendered up to the date of cancellation, plus a fifteen percent (15%) administrative fee.

7. Governing Law: This Quotation Estimate and any resulting contract shall be governed by and construed in accordance with the laws of the State of Illinois, United States. Any disputes shall be resolved through binding arbitration in Chicago, Illinois, in accordance with the rules of the American Arbitration Association.

8. Professional Standards: The Professor warrants that all services will be performed in a professional and workmanlike manner consistent with the standards expected of a tenured faculty member at a major United States research university. The Professor's academic credentials, publications, and prior consulting engagements in the Chicago area are available upon request.

By signing below, both parties acknowledge that this Quotation Estimate accurately reflects the agreed-upon scope, fees, and terms for the Professor's professional services in United States Chicago. This document serves as a binding preliminary agreement pending execution of the full service contract.
