Terms and Conditions of This Quotation Estimate
- Validity: This Quotation Estimate is valid for thirty (30) calendar days from the date of issue. After the expiration date, the Professor reserves the right to revise rates and terms.
- Payment Terms: Payment shall be made in monthly installments of 1/5th of the total amount, due within fifteen (15) business days of invoice issuance. A 1.5% monthly late fee shall apply to overdue balances.
- Taxation: All amounts are exclusive of applicable United States federal, California state, and Los Angeles municipal taxes. Sales tax and any applicable service tax shall be added at the prevailing rate in Los Angeles, California.
- Scope Changes: Any modification to the scope of services outlined in this Quotation Estimate must be agreed upon in writing by both the Professor and the client. Additional services will be billed at the Professor's standard hourly rate of $450.00 per hour.
- Intellectual Property: All materials, curricula, lecture notes, and research frameworks developed by the Professor during this engagement shall remain the intellectual property of the Professor unless otherwise stated in a separate written agreement.
- Confidentiality: The Professor and the client agree to maintain strict confidentiality regarding all proprietary information exchanged during the course of this engagement in Los Angeles, United States.
- Termination: Either party may terminate this engagement with thirty (30) days' written notice. In the event of early termination, the client shall be liable for all services rendered up to the date of termination.
- Governing Law: This Quotation Estimate and any resulting contract shall be governed by and construed in accordance with the laws of the State of California, United States, and the federal laws of the United States of America. Disputes shall be resolved through arbitration in Los Angeles, California.
