- This Quotation Estimate is valid for a period of thirty (30) calendar days from the date of issue. After the expiration date, all rates and availability of the Professor's schedule are subject to revision without prior notice.
- All services described herein shall be performed by Professor Dr. Eleanor M. Whitfield or, in the event of documented unavailability, by a qualified associate professor from the same department at the Manhattan Institute for Advanced Studies, with the client's prior written consent.
- Payment terms: Fifty percent (50%) of the Grand Total shall be due upon acceptance of this Quotation Estimate. The remaining fifty percent (50%) shall be due within fifteen (15) business days of final delivery of all services and deliverables.
- All on-site engagements, lectures, and workshops shall be conducted within the city limits of New York City, United States. Any travel outside of New York City, including but not limited to Long Island, Westchester County, or New Jersey, shall be subject to a separate travel surcharge and a revised Quotation Estimate.
- The Professor retains all intellectual property rights to pre-existing research, methodologies, and academic works. Deliverables specifically commissioned under this Quotation Estimate shall become the property of the client upon full payment.
- Applicable taxes include New York City sales and services tax at the current rate of 8.875% and New York State tax at 4.0%, as mandated by the tax authorities of the State of New York and the City of New York.
- This Quotation Estimate does not constitute a binding contract until a formal service agreement is executed by both parties. The Professor's engagement is subject to institutional approval by the Manhattan Institute for Advanced Studies.
- Any changes to the scope of services, additional hours, or extended engagements must be documented in a written amendment to this Quotation Estimate and signed by both parties before work commences.
- Disputes arising from this Quotation Estimate or the subsequent service agreement shall be governed by the laws of the State of New York and shall be resolved in the courts of New York County, New York City, United States.
