This Quotation Estimate reflects all applicable rates, taxes, and charges as per the prevailing regulations in India Bangalore and the broader Indian market.
The Project Manager engaged under this Quotation Estimate will perform the following duties and responsibilities throughout the engagement period in India Bangalore:

- Stakeholder management, including regular reporting to the client's executive leadership team based in India Bangalore.

As per this Quotation Estimate, payment shall be made in the following schedule:
- Advance Payment: 25% of the Grand Total upon signing of the Service Agreement (INR 12,25,000).
- Monthly Milestone Payments: 60% of the Grand Total payable in 12 equal monthly instalments (INR 2,55,000 per month), due within 15 days of the monthly invoice.
- Final Settlement: 15% of the Grand Total upon successful project closure and knowledge transfer (INR 7,20,000).
All payments shall be made via NEFT/RTGS to the bank account of Apex Consulting Solutions Pvt. Ltd., India Bangalore. Invoices will be raised in INR and will include applicable GST as per Indian tax regulations.
5.1 Validity: This Quotation Estimate is valid for 30 calendar days from the date of issue. Beyond this period, rates may be revised to reflect market conditions in India Bangalore.
5.2 Cancellation: Either party may terminate the engagement with 30 days' written notice. In the event of early termination by the client, all fees for the notice period shall be payable in full.
5.3 Confidentiality: The Project Manager shall adhere to a strict Non-Disclosure Agreement (NDA) covering all proprietary information of the client. This obligation survives the termination of this Quotation Estimate engagement.
5.4 Intellectual Property: All project artefacts, documentation, and deliverables created by the Project Manager during the engagement shall remain the exclusive property of the client.
5.5 Force Majeure: Neither party shall be liable for delays caused by events beyond reasonable control, including but not limited to natural disasters, government mandates, or pandemics affecting operations in India Bangalore.
5.6 Governing Law: This Quotation Estimate and the resulting Service Agreement shall be governed by the laws of India. Any disputes shall be subject to the exclusive jurisdiction of the competent courts in India Bangalore.
5.7 Tax Compliance: All charges are inclusive of applicable taxes. GST of 18% has been calculated as per the current Indian tax structure applicable in India Bangalore. TDS, if applicable, shall be deducted by the client as per the Income Tax Act, 1961.
