Payment for the Project Manager services outlined in this Quotation Estimate shall be structured as follows:

Advance Payment (20%): $48,016.80 — Due upon signed acceptance of this Quotation Estimate and execution of the master services agreement.
Monthly Installments (70%): $16,805.88 per month — Payable within 15 business days of the end of each calendar month, commencing from the second month of the engagement.
Final Settlement (10%): $24,008.40 — Payable upon successful project closure, handover, and delivery of all documentation within 30 days of project completion.

5.1 This Quotation Estimate is valid for thirty (30) calendar days from the date of issue. Beyond this period, all rates are subject to revision based on prevailing market conditions in Iran Tehran.

5.2 The Project Manager shall devote a minimum of 45 hours per week to the client's project, with primary work location at the client's designated site in Tehran, Iran.

5.3 Either party may terminate the engagement with thirty (30) days' written notice. In the event of early termination, the client shall be liable for all fees accrued up to the termination date plus a 10% administrative surcharge.

5.4 All intellectual property, project documentation, and deliverables produced by the Project Manager during the engagement shall become the exclusive property of the client upon full payment.

5.5 This agreement shall be governed by and construed in accordance with the commercial laws of the Islamic Republic of Iran. Any disputes shall be resolved through arbitration in Tehran under the rules of the Iran Arbitration Center.

5.6 The Project Manager shall maintain professional indemnity insurance with a minimum coverage of $500,000, valid throughout the duration of the engagement in Iran Tehran.

5.7 Confidentiality obligations shall survive the termination of this engagement for a period of three (3) years.
