The Project Manager engaged under this Quotation Estimate will be based in the Tel Aviv office and will perform the following core responsibilities:

In accordance with the terms of this Quotation Estimate, payment for the Project Manager engagement in Israel Tel Aviv shall be structured as follows:
- Advance Payment: 20% of the total contract value due upon signed acceptance of this quotation (approximately 205,069 ILS incl. VAT).
- Monthly Invoices: The remaining 80% shall be invoiced on the 1st business day of each month for services rendered in the preceding month, payable within 30 days of invoice date.
- Final Settlement: Any outstanding balance, including contingency drawdowns or additional approved change orders, shall be settled within 15 days of project closure.
All payments shall be made via bank transfer to the account of Meridian Project Solutions Ltd., Bank Leumi, Tel Aviv Branch. Invoices will be issued in New Israeli Shekels (ILS) and will include the applicable VAT number as required by the Israeli Tax Authority.
- This Quotation Estimate is valid for a period of thirty (30) calendar days from the date of issue. Beyond this period, rates may be subject to revision based on market conditions in Israel Tel Aviv.
- The Project Manager shall be subject to a non-disclosure agreement (NDA) and a non-compete clause in compliance with Israeli contract law (Contract Law, 5733-1973).
- Either party may terminate the engagement with a written notice of sixty (60) days. In the event of early termination, the client shall be liable for all fees accrued up to the termination date plus a termination fee equal to one month's professional fee.
- All work performed by the Project Manager shall comply with the Israeli Labor Law, 5722-1962, the Sickness Insurance Law, and the National Insurance Law. Employer contributions to Bituach Leumi (National Insurance) are included in the monthly professional fee.
- Intellectual property developed during the course of the engagement shall vest in the client upon full payment. The Project Manager retains the right to reference the engagement in professional portfolios with prior written consent.
- Any disputes arising from this Quotation Estimate or the resulting contract shall be resolved through mediation in Tel Aviv, and failing mediation, through the competent courts of Tel Aviv, Israel.
- This quotation does not constitute a binding contract until both parties have executed the formal Service Agreement. This Quotation Estimate serves solely as a financial proposal and scope definition.
- Force majeure events, including but not limited to natural disasters, government-mandated shutdowns, or security-related disruptions affecting the Tel Aviv region, shall suspend obligations without penalty for a period not exceeding ninety (90) days.
