The Project Manager engaged under this Quotation Estimate shall be responsible for the end-to-end delivery of the client's infrastructure development programme in Kenya Nairobi. The scope of duties includes, but is not limited to, the following:

• Development and maintenance of comprehensive project plans, schedules, and budgets aligned with the client's strategic objectives for the Nairobi region.
• Coordination of multidisciplinary teams comprising engineers, architects, contractors, and regulatory consultants operating within Kenya Nairobi and its environs.
• Stakeholder management and liaison with the Nairobi County Government, National Transport and Infrastructure Authority (NTIA), and other relevant Kenyan regulatory bodies.
• Risk identification, mitigation planning, and contingency management specific to the urban construction environment of Kenya Nairobi.
• Quality assurance and compliance monitoring in accordance with Kenyan Building and Construction Industry Development Authority (BCIDA) standards.
• Monthly progress reporting, financial tracking, and variance analysis presented to the client's board of directors.
• Procurement oversight and vendor management for all project-related materials and subcontractor services sourced within Kenya.

Payment for the services outlined in this Quotation Estimate shall be made in accordance with the following schedule, structured to align with the project milestones in Kenya Nairobi:

• 25% Advance Payment: Due upon execution of the service agreement and confirmation of the Project Manager's onboarding. Amount: KES 4,704,090.
• Monthly Progress Payments: 6.25% of the total contract value payable on the 5th business day of each month, subject to satisfactory delivery of the monthly progress report. Amount per month: KES 1,176,022.50.
• Final Payment: The remaining balance shall be due within 14 days of the Project Manager's final handover report and client sign-off.

All payments shall be made via bank transfer to the account of Apex Project Management Solutions Ltd., Equity Bank, Nairobi Branch, Account No. 002345678901, SWIFT: EQBKKEKE. Invoices shall be issued in accordance with Kenya Revenue Authority (KRA) e-invoicing requirements.

• This Quotation Estimate assumes that the client will provide a dedicated workspace within their Nairobi premises for the Project Manager and supporting PMO staff.
• Travel costs beyond the Nairobi metropolitan area (e.g., site visits to Mombasa, Kisumu, or Nakuru) are excluded and will be billed at cost with prior written approval.
• The engagement period is fixed at twelve (12) months. Any extension beyond this period will require a revised Quotation Estimate and a supplementary agreement.
• Costs associated with obtaining or renewing professional licences, BCIDA registrations, or NCA certifications for the Project Manager are included in the monthly professional fee.

This Quotation Estimate is valid for thirty (30) calendar days from the date of issue. Upon expiry, all rates and terms are subject to revision based on prevailing market conditions in Kenya Nairobi. Acceptance of this quotation constitutes full agreement to all terms, conditions, and assumptions stated herein.

• This engagement is governed by the laws of the Republic of Kenya, and any disputes shall be resolved through arbitration in Nairobi in accordance with the Arbitration Act, 1995.
• Apex Project Management Solutions Ltd. reserves the right to substitute the assigned Project Manager with a professional of equivalent or superior qualifications, subject to the client's written approval.
• Confidentiality obligations shall survive the termination of this engagement for a period of three (3) years.
• Neither party shall be liable for delays or non-performance resulting from force majeure events, including but not limited to natural disasters, government policy changes, or civil unrest affecting Kenya Nairobi.
• All intellectual property developed specifically for the client during the engagement shall vest in the client upon full payment.
