Payment for the Project Manager services shall be made on a monthly basis in arrears, within thirty (30) calendar days of receipt of a valid invoice. The first invoice shall be issued upon successful completion of Phase 1 mobilisation. A retention of five percent (5%) shall be withheld from each monthly payment and released in full upon satisfactory completion of the final handover in Sudan Khartoum.
- This Quotation Estimate is valid for thirty (30) days from the date of issue. Beyond this period, pricing may be subject to revision due to market conditions in Sudan Khartoum.
- The Project Manager shall be subject to a background check and security clearance as required by Sudanese law prior to commencing duties.
- All work shall be performed in accordance with the project contract, applicable Sudanese legislation, and the professional code of conduct of the Sudan Engineers Syndicate.
- Either party may terminate the engagement with sixty (60) days' written notice. In the event of early termination, fees shall be pro-rated based on services rendered up to the termination date.
- Intellectual property generated during the engagement, including project management plans, schedules, and reports, shall remain the property of the client (SNIDA) upon full payment.
- Disputes arising from this Quotation Estimate or the subsequent contract shall be resolved through arbitration in Khartoum, Sudan, in accordance with the Sudan Arbitration Act.
- This Quotation Estimate does not constitute a binding contract until a formal service agreement is executed by both parties.
