1. Purpose of This Quotation Estimate

This Quotation Estimate is issued by Apex Professional Services LLC to formally present the cost structure, scope of deliverables, and engagement terms for the provision of a dedicated Project Manager to support the client's operational initiatives within the United States Miami metropolitan area. 4. Project Timeline and Milestones

The Project Manager engagement under this Quotation Estimate is structured over a twelve-month period commencing on the date of mutual contract execution. Key milestones include: Project Initiation and Planning (Weeks 1–4), Execution Phase I (Weeks 5–16), Mid-Project Review and Re-baselining (Week 17), Execution Phase II (Weeks 18–36), and Final Delivery, Closeout, and Lessons-Learned Documentation (Weeks 37–48). All milestone deliverables will be presented to the client's executive sponsor at the United States Miami headquarters or via a mutually agreed virtual platform.

5. Assumptions and Dependencies

This Quotation Estimate is predicated on the following assumptions: (a) the client will provide timely access to all necessary data, systems, and personnel within the United States Miami operational footprint; (b) the Project Manager will have a dedicated workspace at the client's United States Miami premises or an approved co-working facility; (c) no more than two material scope changes will be requested during the engagement period without triggering a formal change-order process; and (d) all regulatory approvals required under United States federal and Florida state law will be obtained by the client prior to project commencement.

6. Terms and Conditions

This Quotation Estimate is valid for thirty (30) calendar days from the date of issue. Beyond this period, all rates and terms are subject to revision.
Payment terms: Net 30 days from the date of invoice. Invoices will be issued monthly in arrears. Late payments shall accrue interest at 1.5% per month.
The Project Manager shall adhere to all confidentiality obligations as defined in the separate Non-Disclosure Agreement (NDA) executed concurrently with this Quotation Estimate.
Either party may terminate the engagement with thirty (30) days' written notice. Upon termination, the client shall be invoiced for all services rendered through the termination date.
This Quotation Estimate and the resulting contract shall be governed by the laws of the State of Florida, United States, and any applicable United States federal statutes.
All disputes arising from this Quotation Estimate shall be resolved through binding arbitration in Miami-Dade County, United States Miami, in accordance with the rules of the American Arbitration Association.
The Project Manager is engaged as an independent contractor through Apex Professional Services LLC and is not an employee of the client.

7. Acceptance and Authorization

By signing below, the client acknowledges receipt of this Quotation Estimate, confirms that the scope, financial terms, and conditions presented herein are acceptable, and authorizes Apex Professional Services LLC to proceed with the onboarding of the designated Project Manager for the United States Miami engagement.
