Scope of Work – Project Manager Engagement

This Quotation Estimate is presented by Meridian Consulting Group, Inc. to Apex Digital Solutions LLC for the provision of a dedicated Project Manager to oversee the end-to-end delivery of the "Enterprise Platform Migration" initiative. The engagement will be conducted primarily in the United States San Francisco metropolitan area, with the Project Manager operating on-site at the client's headquarters in the Financial District and coordinating with distributed teams across the Bay Area.

The Project Manager will be responsible for defining project scope, developing detailed work breakdown structures, managing cross-functional teams of up to 45 personnel, controlling budgets not to exceed $4.2 million, mitigating risks, and ensuring compliance with all applicable California state regulations and United States federal standards. The engagement period spans fourteen (14) months, commencing August 1, 2025, and concluding through November 30, 2026.

Terms and Conditions

This Quotation Estimate is valid for thirty (30) calendar days from the date of issue. After the expiration date, all rates and availability must be reconfirmed in writing by Meridian Consulting Group, Inc.
The Project Manager assigned to this engagement shall be a PMP-certified professional with a minimum of twelve (12) years of experience in enterprise technology projects within the United States. The specific individual will be identified in a supplementary addendum upon contract execution.
All services will be performed in the United States San Francisco area. Should the client require the Project Manager to relocate to a different city or state, additional travel and cost-of-living adjustments will be quoted separately.
Payment terms: Net 30 days from invoice date. Invoices will be issued monthly in arrears. A 1.5% monthly late fee will apply to overdue balances in accordance with California Commercial Code Section 2202.
A 20% mobilization deposit is due upon signed acceptance of this Quotation Estimate. The remaining balance will be invoiced monthly based on the itemized schedule above.
Either party may terminate this engagement with sixty (60) days written notice. In the event of early termination, the client shall pay for all services rendered through the termination date plus a 10% wind-down fee.
All intellectual property, project documentation, and deliverables produced under this engagement shall become the sole property of Apex Digital Solutions LLC upon full payment.
This Quotation Estimate is governed by the laws of the State of California. Any disputes shall be resolved through binding arbitration in San Francisco, California, in accordance with the rules of the American Arbitration Association.
Meridian Consulting Group, Inc. maintains professional liability insurance of $5,000,000 and workers' compensation coverage as required by the State of California.
Confidentiality: Both parties agree to maintain strict confidentiality of all proprietary information exchanged during the course of this project, as further detailed in the separate Non-Disclosure Agreement (NDA) to be executed concurrently.

Acceptance and Authorization

By signing below, the client acknowledges receipt of this Quotation Estimate and authorizes Meridian Consulting Group, Inc. to commence the Project Manager engagement in United States San Francisco under the terms and conditions outlined herein.
