Payment for the services outlined in this Quotation Estimate shall be made in quarterly instalments. The first payment of CNY 197,425 (25% of the Grand Total) is due within fifteen (15) business days of contract execution. Subsequent quarterly payments of CNY 197,425 are due on the first business day of each quarter. All payments shall be made via bank transfer to the account designated by the Psychologist's consulting firm. Late payments shall incur a penalty of 1.5% per month on the outstanding balance.
5.1 Confidentiality: All psychological data, session notes, and employee records handled by the Psychologist shall be treated as strictly confidential in accordance with the Personal Information Protection Law of the People's Republic of China and the professional ethical code of the Chinese Psychological Society.
5.2 Professional Standards: The Psychologist commits to delivering all services in full compliance with the regulations set forth by the National Health Commission of China and the local Shanghai Municipal Health Bureau. All clinical interventions shall follow evidence-based protocols.
5.3 Cancellation and Termination: Either party may terminate this engagement with sixty (60) days' written notice. In the event of early termination, the Psychologist shall be compensated for all services rendered up to the termination date, plus a 10% administrative fee on the remaining contract value.
5.4 Liability: The Psychologist and Shanghai MindWell Psychological Consulting shall not be held liable for any indirect or consequential damages arising from the use of the services described in this Quotation Estimate. Total liability shall not exceed the total fees paid under this agreement.
5.5 Governing Law: This Quotation Estimate and any resulting contract shall be governed by and construed in accordance with the laws of the People's Republic of China. Any disputes shall be resolved through arbitration at the Shanghai Arbitration Commission.
Important Note: This Quotation Estimate is valid for ninety (90) days from the date of issue. Prices are quoted in Chinese Yuan (CNY) and are subject to revision upon renewal. The Psychologist reserves the right to adjust session availability based on clinical workload. All services will be delivered at the client's premises in China Shanghai or at the Psychologist's office in Pudong New Area, as mutually agreed upon in writing.By signing below, both parties acknowledge that they have read, understood, and agree to the terms set forth in this Quotation Estimate. This document, once countersigned, shall constitute a binding service agreement for the provision of Psychologist services in China Shanghai for the duration specified herein.
