1. Validity: This Quotation Estimate is valid for 30 calendar days from the date of issue. After the expiry date, rates and availability may be subject to revision. The client is requested to confirm acceptance in writing within this period.
2. Payment Terms: Invoices are issued monthly in arrears. Payment is due within 14 days of invoice date via bank transfer to the account specified on the invoice. Late payments will incur interest at the statutory rate under German commercial law (HGB § 288).
3. Cancellation and Termination: Either party may terminate the service agreement with 60 days' written notice. In the event of early termination, all services rendered up to the termination date remain payable. No refund will be issued for the annual retainer (Item 04) if fewer than 6 calls have been utilized.
4. Confidentiality and Data Protection: All psychological records, session notes, and diagnostic reports are handled in strict accordance with the German Federal Data Protection Act (BDSG) and the EU General Data Protection Regulation (GDPR). 5. 6. Liability: The service provider's liability is limited to direct damages caused by gross negligence or willful misconduct. Indirect or consequential damages are excluded to the extent permitted by German law.
7. Governing Law: This agreement is governed by the laws of the Federal Republic of Germany. The exclusive place of jurisdiction is Munich, Germany.
