2. SCOPE OF SERVICES – ROBOTICS ENGINEER ENGAGEMENT
This Quotation Estimate is issued by TechNova Engineering Solutions Ltda. to provide professional services of a senior Robotics Engineer for the client's manufacturing and automation facility located in Brazil, Rio de Janeiro. The engagement encompasses the design, integration, programming, and commissioning of industrial robotic systems, as well as ongoing technical support and process optimization for the client's production lines.
The Robotics Engineer assigned to this project will operate primarily from the client's premises in the Zona Norte industrial district of Rio de Janeiro, with periodic visits to the provider's laboratory facility in the Centro district. All deliverables, technical documentation, and on-site interventions will be conducted within the metropolitan area of Brazil, Rio de Janeiro, ensuring rapid response times and full compliance with local regulatory standards established by the Brazilian Ministry of Labor and the ABNT (Associação Brasileira de Normas Técnicas).

4. PAYMENT SCHEDULE
This Quotation Estimate for the Robotics Engineer services in Brazil, Rio de Janeiro shall be settled according to the following milestones:

5. TERMS AND CONDITIONS
5.1. This Quotation Estimate is valid for thirty (30) calendar days from the date of issue. After this period, pricing may be subject to revision based on market conditions in the Brazil, Rio de Janeiro industrial sector.
5.2. The Robotics Engineer services described herein are subject to a minimum engagement period of sixty (60) business days. Early termination by the client will incur a penalty of 15% of the remaining contract value.
5.3. All work shall be performed in compliance with Brazilian labor laws, NR-12 safety regulations, and applicable ABNT technical standards specific to the state of Rio de Janeiro.
5.4. The provider shall supply all specialized tools, diagnostic software, and personal protective equipment (PPE) required for the Robotics Engineer to perform on-site activities. The client shall provide access to the facility, electrical infrastructure, and any existing PLC/SCADA systems.
5.5. Intellectual property generated during the engagement, including proprietary control algorithms and system designs, shall remain the exclusive property of the client upon full payment.
5.6. Force majeure events, including but not limited to natural disasters affecting the Rio de Janeiro metropolitan area, shall suspend obligations without penalty for a period not exceeding fifteen (15) business days.
5.7. Disputes arising from this Quotation Estimate and the resulting contract shall be resolved by arbitration in Rio de Janeiro, Brazil, under the rules of the CAM-CCBC (Câmara de Arbitragem do Centro de Comércio Brasil-Canadá).
6. ACCEPTANCE AND AUTHORIZATION
By signing below, both parties acknowledge and accept the terms, scope, and pricing outlined in this Quotation Estimate for the Robotics Engineer engagement in Brazil, Rio de Janeiro.
